REPORT.


The Contract with the Water Company.


At a special town meeting, April 7, 1888, it was “in- formally" voted to instruct the Selectmen "to sign a memorandum of agreement between the Fairhaven Water Company and the town of Fairhaven."


This memorandum Messrs. Bryant and Macomber, a majority of the Board present, signed without delay, and this was the only contract with the Water Company the Selectmen were ever instructed to sign.


The memorandum contained, among other things, the statement that the terms of the contract should be agreed upon by the Selectmen and a committee of persons to be appointed by the town. The town appointed Thomas N. Morse, Geo. H. Tripp, Daniel W. Dean, Geo. H. Taber, and Walter P. Winsor as that committee. The town then voted by a yea and nay vote to ratify "the contract to be made by Selectmen and Committee." We have been since advised that this vote of ratification was invalid, because you cannot ratify a thing not in existence ; and, moreover, because all the votes of that town meeting were expressly informal and only preliminary. The record of this town meeting can be found at the Town Clerk's office, and is open to public examination. By the Statute laws of the State (Public Statutes, Chap. 27, Section 27) the Select- men after that town meeting had no legal power to make a binding contract for the purchase of a water supply, but

only had the power to "consent" to a complete contract (not a mere "memorandum of agreement" but a contract containing all essential terms), and afterwards that consent would have to be "ratified" by a two thirds vote of the citizens at a town meeting called for that purpose.


So the only duty of the Selectmen was to unite with the Committee in agreeing upon the "terms of the contract" and to "consent" in writing to that contract and bring the whole matter for ratification before the next annual town meeting or any special town meeting that ten tax payers should petition for, which ten tax payers never did. The Committee and Selectmen would have reported to the coming town meeting a completed contract, properly con- sented to, for the ratification of the town, had it not been for one important circumstance. The Water Company could not get any water. Their driven wells were failures and the State Board of Health would have forbidden them from drawing water for domestic purposes through pipes leading from the Mill pond, and the Selectmen were officially informed that the Company had given up all hope of any water supply from sources within the town and would be obliged to go to Sniptuit pond, in Rochester, or some other remote source ; and, further, that the Company would have to petition the Legislature for a new charter, because, under its present charter, it was not authorized to hold capital stock enough for so expensive an undertaking, and besides that had no chartered power to take water from sources outside of Fairhaven.


As such new charter could not be obtained until after the next annual town meeting, to which the Selectmen would have to report, and as, of course, no binding con- tract could be previously made with the Company to do what it had no chartered right to do, nothing remains for the Selectmen at this time but to report the above facts as a reason for their inaction.

The Selectmen, however, take the liberty of adding that, after legal advice, and for reasons unnecessary now to be mentioned, they made one suggestion that was in- formally discussed by the Committee. That was, that the Water Company should furnish security for the fulfillment of its contract for repairing the streets it should dig up in laying and operating its mains and pipes, and for reim- bursement for damages which the town might sustain by the Company's neglect.


The temporary or permanent abandonment of its enter- prise by the Water Company made the final decision of this question unnecessary .


The Selectmen gratefully acknowledge the courtesy and efficient help of the Committee, and regret that cir- cumstances beyond human control prevented the town from securing fire protection, and the community a needed improvement.
