Among the matters which we have considered as having a bearing on the main question are the following :-
First :- We do not favor making the advance in price of gas this year as has been suggested, for the reason that we think such a price as that named is a hardship to the con- sumer, would make the use almost prohibitive, and would not benefit the Town in the end.
Second :- We believe that sufficient power should be fur- nished at the Electric Station to operate the same without making it necessary to raise the water to such a height as to damage the property of owners along the banks of the river, and in this connection we recommend that the Town pass a vote instructing its Light Commissioners not to allow the water in the river at the Electric Station to reach a level above what has been determined as "high water mark," unless in case of a freshet, or other unavoidable cause, when action shall be taken at once to reduce it to the above named level.
Third :- In order that the Electric Plant may be more efficiently operated, Messrs. Coleman and Royce recommend the installation of a new 60 cycle generator, of a size somewhat larger than the one now in use.
Fourth :- We recommend that a separate account be kept of the actual operating and construction expenditures for the current year.

The Committee on changing the By-Laws reported and their report was adopted. The report follows :-
The Committee appointed at the Annual Meeting under Article 24 of the warrant, respectfully report as follows :- We recommend that the Town vote to amend Article 2 of the By-Laws of the Town by inserting the following words, "seven days at least before the time appointed for said meeting", so that Article 2 will then read as follows :-
2. "Every town meeting shall be notified by publishing a notice of the same in some newspaper published in Middle- boro, seven days at least before the time appointed for said

meeting, or by posting printed notices of said meeting, seven days at least before the time appointed for said meeting, in at least ten public places in the town which places shall include the Center, North Middleboro, South Middleboro, Rock, East Middleboro, and the Green. The notification shall in all cases contain an enumeration of all subjects speci- fied in the warrant.

The Committee appointed to consider the matter of the advisability of selling the Lighting Plant made the following report :-
To the Citizens of the Town of Middleboro :-
Following the partial report made by your Committee appointed to consider the advisability of selling any part or all of the Gas & Electric Plant now owned by the Town, we submit the following as our Report :-
At the time of the last meeting we had assurance of obtain- ing an offer from a reputable firm for the purchase of the plant ata price so attractive that it was favorably looked upon by your Committee. The amount would be nearly sufficient, if not quite, to cancel the present lighting indebtedness of the town. We were quite unanimous in the opinion, that if this could be done, and a satisfactory contract for street lighting be obtained for a long term of years, that it might be as well to relieve the town of so much of its already large indebtedness. Inasmuch as we have been unable to obtain a satisfactory offer from the party above alluded to, we are of the opinion it would be better policy for the town to retain the whole plant (gas and electric). Experts agree that there are possibilities in the gas business of municipal ownership in Middleboro, pro- vided a commission of competent men for a long term of years be chosen, and that commission must see that good executive ability is used and have expenditures of all appropriations approved by a competent engineer, and the operation super- vised by some one who is qualified.
Mr. J. E. Philbrick, of the Brockton Gas Light Co., an expert employed by your Committee states in his report the cost (1) Considering the question of repairing present gas plant and installing new proper machinery for manufacturing coal gas $30,400, also water gas $32,650, (2) cost of locating either plant close to site of Electric Light Station and cost of same, coal gas $40,400 and water gas $40,650; (3) cost of coal gas distributed from present location, allowing 10 per cent for municipal operating $1.30 per M; (4) cost of water gas distributed from present location $1.10 per M; Either

coal or water gas made at a plant near electric light station would cost 5 cents more on account of carting coal and oil, making price of distribution practically $1.40 for coal gas and $1.15 for water gas per M. But it is a question whether it is not offset by other advantages gained in economical operation and having a supply of gas on hand in case the gas producers at electric station are out of commission. All experts re- commend water gas for Middleboro; (5) cost of piping the town and repairing approximately $18,115; meters and services $8,800, total $26,915. For a water gas plant on land near electric station our expert claims gas could be sold at $2.50 per M. at a profit, with the present number of consumers at the end of the first year of operation; and with increased consumption the price could be lowered to $1.75 per M.
We are informed that the trustees of the Thomas S. Peirce Estate were willing to consider the question of rehabilitating the gas plant, and as no offer has been received which your Committee felt they would be justified in recommending to sell, we herewith recommend that a Committee be appointed by the Moderator to wait upon the Trustees of the T. S. Peirce Estate and ascertain what arrangements can be made to carry out this recommendation and that they report at an adjourned meeting to be held in two weeks.
We also recommend that the proposition to be made by said Trustees be published in the two local papers at least one week before the meeting.
Referring to the Electric Plant, it is the opinion of experts that with a few necessary additions it will be possible to operate the plant at a profit, or at least, it will be self sustain- ing, provided that the Commissioners see that good executive ability is employed for the management, and that the opera- tion of the plant and the business therewith be supervised by one well qualified.

Your Committee appointed at the last adjourned Town meeting to confer with the Peirce Trustees relative to re- habilitating the municipal gas plant, respectfully report that, owing to existing conditions, the Trustees are unwilling to make any proposition calling for the expenditure of the trust funds for that purpose.

The following motion was made, viz :-
That the sum of $25,000 be appropriated for the purpose of making the necessary changes in our gas plant, in order to manufacture water gas and for laying a new gas main from the holder to the Four Corners; that the expenditure of said sum for the purposes above mentioned be intrusted to the Board of Electric Light Commissioners; that this money be raised by the sale of ten notes of $2500 each, payable annually, beginning Nov. 1, 1909, signed by the Town Treasurer after approval by the Selectmen, but that the notes shall not be raised nor construction begun until the said Commissioners

have assurances that all the work embraced in this motion can be done for the amount of money herein mentioned.
Voted :- That the above motion be postponed until the next Annual Town Meeting.
A motion to appropriate $3000 to lay a gas main of suitable size on Center Street was lost.
