Standing Rules
OF THE CENTRAL CONGREGATIONAL SOCIETY.
I .- TRUSTEES.
The property of this Society shall be vested in a Board of nine Trustees, who shall cause full records of their proceedings to be kept, and report the same at the Annual Meeting, and at any other time when required by the Society. They shall also report the state of their funds, and the sum which may appear to them to be necessary to defray the expenses of the Society for the succeeding year.
II .- CONTRACTS.
The Trustees shall make no contract, involving an expendi- ture exceeding two hundred dollars, without the approval of the Society.
II .- CALLING A PASTOR.
In calling a Pastor, the Church and Society will act as con- current bodies-the Church nominating its candidate, and the Society confirming or rejecting the nomination-a vote of two- thirds of the members present being necessary to constitute a choice.
IV .- SUPPLIES FOR THE PULPIT.
Such Committee as may be appointed by the Church to furnish temporary supplies for the pulpit, when necessary, shall be considered a Committee of this Society for that purpose; and the expense of such supplies shall be defrayed out of the funds of the Society, provided the amount of such expense shall not exceed two hundred dollars, without a vote of the Society.

V .- ANNUAL MEETING.
An Annual Meeting of this Society shall be held on the second Monday in April of every year, for the purpose of choosing a Clerk, hearing the report of the Trustees, filling the yearly vacancies in the Board of Trustees, fixing the rental of pews for the succeeding year, and for the transaction of such other business as may be regularly brought before it.
VI .- SPECIAL MEETINGS.
Special Meetings shall be called by the Pastor, or by the Clerk, whenever requested to do so, in writing, by seven mem- bers of the Society ; or they may be called by the Board of Trustees.
VII .- NOTICE OF MEETINGS.
Public notice of any meeting of the Society, shall be given in the Church, on the Sabbath previous to such meeting.
VILL-ORDER OF BUSINESS.
The usual order of business in the meetings of this Society shall be :
1. The appointment of a Moderator.
2. Prayer.
8. Reading of the Minutes of the previous meeting.
4. Reports of Committees.
5. Unfinished business of previous meetings.
6. New business.
IX .- VOTERS.
The Pastor, as well as all persons of full age, statedly attend- ing Divine Worship in the Church of this Society, and hiring pews or sittings and paying rent regularly therefor, and not in arrears for rent more than six months, shall be entitled to vote in all its proceedings, except in cases where other qualifications are required by law.
X .- RESOLUTIONS.
No resolution sh ill be adopted at the same meeting at which it is offered, if objection be made thereto, but it shall be reduced to writing by the mover, and referred to the next meeting, unless the objection be overruled by a vote of two-thirds of the members present and voting.

XI .- EXPENDITURES AND CHANGES.
No resolution involving the expenditure of money, or any change in the established customs or usages of the Society, shall be adopted, except by a vote of two-thirds of the members pre- sent and voting.
XII .- SUSPENSION OF RULES.
These rules shall not be suspended or dispensed with at any meeting of the Society, except by a vote of three-fourths of the members present and voting.
XII .- ALTERATIONS.
No alterations in these rules, nor addition to them, shall be made, except by a vote of two-thirds of the members present- such alteration having been proposed at a previous meeting.
Regulations for Business meetings.
When the appointed time for the meeting arrives, the Clerk, (or, if he be al ent, some other member,) will call the meeting to order, and a Moderator being nominated, will put the ques- tion myon the choice. If the Clerk should be absent, a Clerk pro tem. must then be chosen. If the meeting be adjourned to another day, the same officers preside again, for an adjomment is but a continuance of the same meeting.
Every motion must be in writing, if required by any member; and, when seconded, must be read by the Moderator or Clerk, and submitted to the consideration of the meeting.
Until a motion is disposed of, all subsequent propositions must be made by way of amendment.
An amendment may go to the exclusion, addition, or substi- tution of words or sentences: indeed, a motion to amend by striking out all after the words Resolved, and substituting an entirely new proposition, upon the same subject, is in order.
Until some vote has been taken on a resolution, or an amend- ment to it, it may be withdrawn by the mover.
Privileged motions may be made at any time. Such are the motions to postpone indefinitely ; to refer to a committee; to lay on the table (which means to lay aside for the present) ; to postpone to a future time fixed ; and to adjourn. All these motions, except the last, may be debated.
When a member is speaking, no motion can be made but with his consent.
Every member has a right to express his views concerning any motion before the meeting ; mud while doing so, the Moderator is bound to contine him, in his remarks, to the point under con- sideration, and also to protect him against all interruption, except to call him to order, if he violate the rules of courtesy or of debate; but after the point of order is adjusted, he has a right to go on to the end of his remarks, unless he shall have been declared out of order.
When several propositions or amendments are before the meeting, the order in which they are to be voted upon is nsnal- ly the recerse of that in which they are offered. If several sums are proposed, the largest is to be first put to vote ; if several times, the longest ; and as to numbers, generally the largest.

Before a vote is taken, the question should be clearly stated by the Moderator, so that there may be no misunderstanding. The Moderator then says :- Those in favor of the [resolution] will please to say, Aye ; then-Those opposed to the [resolution] will please to say, No. Then he declares the result thus :- The [resolution] is adopted ; or, The [resolution] is lost.
If any member thinks the Moderator in error as to the vote, he has a right to demand a count immediately; in which case the question must be put again, and the vote carefully counted.
After a question is pnt to vote, there can be no debate and no new propositions maude until the voting is finished.
After a vote is taken, any member who voted in the majority, may, during the same meeting, move a reconsideration; and if that motion is adopted, the whole matter stands just as it did before the reconsidered vote was taken.
All decisions of the Moderator are subject to revision by the meeting, on appeal; but no appeal can be allowed except at the same meeting.
When a report is presented it will be placed on file, as of conrse. A vote to adopt, is an expression of conenrrence with the views contained in the report.
When a member has a motion to make, or wishes to speak on a pending motion, he must rise and address himself respectfully to the Moderator.
Any member desiring to make a motion, may preface it with such remarks as explain his design; but with this exception, speaking is ont of order, unless some definite proposition has been submitted, and is under consideration.
By-Datos of the Board of Trustees.

I .- OF MEETINGS.
The regular meetings of the Board shall be held on the first Saturday in every month, at such hour and place as may be designated by the President.
II .- ANNUAL MEETINGS.
The regular meeting in April (the second Monday,) shall be the Annual Meeting, at which time the Officers for the year and Standing Committees shall be appointed.
III .- SPECIAL MEETINGS.
Special meetings shall be called by the President whenever equested in writing by two members.
IV .- QUORUM.
A quorum for the transaction of business shall consist of a majority of all the members of the Board ; a smaller number, however, may organize, and adjourn the meeting to a future time.
V .- ORDER OF BUSINESS.
The usual Order of Business shall be --
Prayer. Reading of the Minutes.
Presentation of Bills. Report of Treasurer. Reports of Committees. Unfinished Business. New Business,

VI .- OFFICERS.
The Officers of the Board shall be a President, Secretary and Treasurer, who shall each be elected by ballot, without nomina- tion, and shall hold their offices until their successors are appointed.
VIL .- STANDING COMMITTEES.
The Standing Committees to consist of three Members each, shall be
A Committee on Finance, A Committee on Property, and A Committee on Music.
VIII .- PRESIDENT,
The duties of the President shall be to preside at all meetings of the Board, decide upon all votes and questions of order, to nominate all Committees, give a casting vote when necessary, and call special meetings when required.
IX .- APPEALS.
In case of an Appeal from any decision of the President, such decision may be reversed by a vote of two-thirds of the mem- bers present.
X .- SECRETARY.
The duties of the Secretary shall be to keep accurate Records of the proceedings at all Meetings of the Board, certify all Bills when approved, keep a full and partienlar account of all Moneys received and expended, as reported to him (with the proper vouchers) by the Property Committee and Treasurer; keep and file all documents belonging to the Board, and notify the mem- bers of special meetings.
XI .- TREASURER.
The duties of the Treasurer shall be to receive from the Property Connnittee, and be responsible for, all moneys collected, to pay all bills when certified by the Secretary as approved by the Board, and report the state of the funds at every Regular Meeting. He shall also furnish to the Secretary a monthly statement of his receipts and disbursements, with vonchers. All fixed salaries, insurance premiums, interest on mortgage, and

gas bills, may be paid when due, withont a special vote of the Board, but no other claims.
XII .- FINANCE COMMITTEE.
The duties of the Finance Committee shall be to receive, examine and report to the Board as to the correctness of all bills and claims; examine and compare the accounts of the Treasurer and Secretary, and report thereon ; to devise and report on ways and means, and the amount needed to defray necessary expenses.
XIII .- COMMITTEE ON PROPERTY.
The duties of the Property Committee shall be to have a general care of the church edifice and other property, rent the pews, collect or cause to be collected the rents therefor, receive donations, take up collections, and pay over to the Treasurer all moneys received, taking his receipt and handing the same, with a statement of items, to the Secretary. They shall exercise a general supervision over the Sexton, and over all matters per- taining to the property of the Society.
XIV .- COMMITTEE ON MUSIC.
The duties of the Music Committee shall be to attend to keeping the Organ in repair and in tune, the engagement of Chorister, Organist, &c. (with the approval of the Board), and in general, to all matters pertaining to the Choir-reporting to the Board annually, or oftener if required, with an estimate of - the amount necessary to be appropriated to this department.
XV .- ALTERATIONS.
These By-Laws shall not be altered or amended, except by a vote of two-thirds of the members present at a Regular Meet- ing: written notice of such intended alteration having been given at a previons Regular Meeting.

IN RELATION TO ECCLESIASTICAL ORGANIZATIONS, ELECTIONS, &C.
ELECTION OF TRUSTEES AT THE ORIGINAL FORMATION OF A .SOCIETY.
1. Publie notice must be given, where the congregation statedly worships, at least fifteen days before the said organiza- tion and election, and on two successive Sabbaths.
2. Two members of the congregation, to be nominated by a majority of the members present, shall preside at the election, receive the ballots of the electors, and be the judges of the qualification of such electors; and after the election, they shall certify, under their hands and seals, the names of the persons elected as Trustees, the corporate name adopted, and have the same acknowledged and recorded in the County Clerk's office.
3. All persons of lawful age are entitled to vote.
4. No person who has not statedly worshipped with the con- gregation, or been considered a member, can vote.
5. Not less than three, or more than nine persons, shall be elected as Trustees.
NOTE .- At the organization of any Society, it is better in all ordinary, cases to cleet the full member of NINE TRUSTLES, as the statute of this State -- . New York -- makes no provision for any increase of the original nuumber although it provides for reducing the number to not more than thice.
6. A plurality of votes shall decide the election.
SEAL OF THE TRUSTEES.
The Trustees shall have and use a common Seal, which may be altered or renewed at pleasure.
POWER OF THE TRUSTEES.
1. They shall take and hold possession of all the property of the Society, both real and personal.
2. In their corporate name they can sue and be sued.

3. They have power to repair and alter their places of worship, and if necessary, to erect a new edifice, and also to purchase or build a dwelling house for the Pastor.
4. They may make rules for managing the temporal affairs of the Society.
5. May dispose of the income of the Society according to their judgment.
6. Shall regulate the prices, and order the renting of pews.
7. Shall appoint a Clerk and Treasurer of the Board, who may be removed at pleasure.
MEETING OF TRUSTEES.
Any two of the Trustees shall have power to call a special meeting of the Board.
A majority of the whole number of Trustees only shall have power to attend to business at any meeting lawfully convened.
TRUSTEES TO BE DIVIDED INTO CLASSES.
The Trustees first chosen at the organization of any religions Society shall be divided into three classes, to the intent that one-third of the members of the Board shall vacate their offices at the end of each year.
After the first election, all Trustees shall hold their office for the term of three years.
NOTICE OF NEW ELECTIONS OF TRUSTEES.
The Trustees, or a majority of them, shall, at least one month before the expiration of the office of any of the Trustees, notify the same in writing to the Minister, or in case of his death or absence, to the Deacons, specifying the names of those whose terms will expire ; and the said Minister or Deacons shall give fifteen days' notice to the congregation, on two successive Sab- baths, of a new election, which election shall be held at least six days before such vacancies shall occur.
Any two members present, appointed by the Society, may preside at the election.
DEATH OF TRUSTEES, REMOVALS, ETC.
All vacancies by death, removal, or refusal to act, shall be filled in the same manner, and with the same public notice given, as at the regular elections.

VOTERS, AFTER THE ORIGINAL ORGANIZATION OF ANY RELIGIOUS SOCIETY.
No person belonging to the Society shall be entitled to vote at any election succeeding the first, until he shall have been a stated attendant on Divine Worship at least one year before such election, and shall have contributed to the support of said Society, according to the usages and enstoms thereof.
The Clerk of the Board of Trustees shall keep a register of the names of the legal voters, and shall at all elections decide upon their qualifications.
MINISTER'S SALARY.
The Trustees shall not have power to fix upon the sum to be paid the Minister for his support, but the same shall be deter- mined by a majority of legal voters at a meeting to be called for that purpose.
REDUCING THE NUMBER OF TRUSTEES.
The Society may reduce the number of their Trustees at any Annual Meeting, provided said number be not less than three.
ANNUAL MEETING.
It shall be lawful for any Society, at its stated Annual Moot- ing, to alter and fix the time for the next Annual Meeting and election of Trustees.
