BROWN ENGINEERING ASSOCIATION CONSTITUTION


NAME.


The name of this organization shall be the BROWN ENGINEERING ASSOCI- ATION.


OBJECT.


The aim of the Brown Engineering Association is "Service"-service to the Brown engineering graduate by keeping him in touch with the engineering activi- ties of the university, by interesting him in its needs, and by bringing him into fellowship with other Brown engineers-service to the Engineering Departments at Brown University and through them, to the undergraduates, by sympathetic study, advice and material assistance in broadening their scope and usefulness; and service to Brown University in making more effective the co-operation be- tween the university, its engineering work, and its engineering graduates.


MEMBERSHIP.


All Brown men connected with, or interested in, engineering, present or past, instructors and former students, are eligible for membership in the Brown En- gineering Association; they may become members by payment of the then current year's dues. Resignations shall be made in writing to the Secretary. Honorary members may be chosen as provided in the By-Laws.


OFFICERS.


The officers of the Brown Engineering Association shall consist of (1) a President, (2) a Vice President, (3) a Secretary-Treasurer and (4) two Directors. These, with the latest two Past Presidents or other Directors in lieu of them, shall constitute the Executive Committee.


AMENDMENTS.


This constitution may be amended at any annual meeting by a two-thirds affirmative vote of those voting, provided that thirty days' written notice of the amendment shall have been given, after it has received the approval of the Executive Committee.


BY-LAWS


MEETINGS.


1. The annual meeting shall be held in New York, N. Y., at the time of the annual meeting of one of the national engineering societies, as designated by the Executive Committee. At this meeting the various officers and committees shall report, the ballot for officers for the ensuing year canvassed, and other business such as may properly come before it shall be transacted. Twenty- five members shall constitute a quorum.


2. Other meetings may be held for stated purposes at the call of the Executive Committee, either on request of members or on its own initiative.


3. Meetings of the Executive Committee shall be subject to the call of the Presi- dent. Four members shall constitute a quorum.


ELECTIONS.


1. The officers of the Brown Engineering Association shall be elected at the time of the annual meeting and shall hold office until the next annual meeting, or until their successors are elected.


2. Vote shall be by letter ballot, sent out at least ten days before the annual meeting. The required number of candidates for Director who receive collec- tively the largest number of votes shall be elected. The remaining offices shall be filled by those receiving the largest number of votes in each instance. In case of a tie vote, the Executive Committee shall choose between the two can- didates in question.


3. The Executive Committee shall have the power to fill any vacancies for un- expired terms.


4. Membership in the Brown Engineering Association is voluntary; all those who are eligible may become members by conforming with the requirements of the Constitution.


5. Honorary members may be proposed in writing to the Secretary by ten mem- bers. Election shall be by unanimous vote of the Executive Committee.


COMMITTEES.


1. The standing committees shall consist of the Executive Committee, the Nomi- nating Committee and the Annual Meeting Committee.


2. Special committees may be appointed by the President as authorized by the Executive Committee.


3. The Executive Committee shall have charge of all the activities of the Brown Engineering Association, except those otherwise specifically delegated.


4. The Nominating Committee shall consist of three members and shall be ap- pointed by the Executive Committee. It shall furnish the Secretary with a list of nominations for the ensuing year not later than November 1, preceding the election.


5. The Annual Meeting Committee shall consist of three members and shall be appointed by the President. Its duties shall be to arrange for the annual meet- ing of the Association.


DUES.


1. The annual dues for all members less than five years out of college shall be $1.00. For others the dues shall be $2.00. All dues shall be payable at the time of the annual meeting.


2. Honorary members shall be exempt from payment of dues.


3. If any member shall allow his dues to lapse more than one year, the Executive Committee may declare his connection with the Brown Engineering Associa- tion forfeited.


AMENDMENTS.


1. These By-Laws may be amended by vote of the Executive Committee at any meeting in connection with which members of the Committee shall have re- ceived advance notice of such pending action.
