ARTICLE V. 1
When the place of holding the next annual meeting of the Society shall be determined, the President shall appoint an Executive Committee of five members, whose duty it shall be to make all necessary preparations and arrangements for such meeting, but who shall not be authorized, by virtue of such appointment, to contract any debts for which the Society shall be held liable.

No member of the Society shall speak more than once on any question of business under discussion by the Society, and no longer than five minutes, without the consent of the Society.
ARTICLE VII.
At each annual meeting there shall be selected, in such manner as the Society shall determine, two persons from the members thereof -one to deliver an address of welcome, and the other an oration upon the history of the Army of the Ohio, and the objects of this association, at the next annual meeting.
ARTICLE VIII.
These by-laws may be altered, amended, or additions made thereto, at any regular meeting of the Society, by a vote of two-thirds the members present.
ARTICLE IX.
This Society, at its meetings, shall, in the discussion of matters brought before it, observe the rules governing deliberative bodies.
General Stiles moved that a committee, consisting of the Chair- man, Vice-Presidents, and other officers, be appointed to confer with the Army of the Cumberland, and the other armies, with reference to consolidation. The motion prevailed.
General Schofield called General Cox to the chair, and spoke as follows :
It has so happened, during the progress of the war, that we have fallen under the command of distinguished generals, who, on account of their positions, have not become members of our organization. I now propose to invite them to become honorary members of our Society. For that purpose, I move that Generals Grant, Sherman and Thomas, and the staff officers who served under them during the war when in the Army of the Ohio, be elected honorary members of our Society.
The motion was carried amid great applause.
On motion of General M. D. Manson, General D. C. Buell was elected an honorary member of the Society.

On motion of General Stiles, a committee, consisting of the President and Vice-Presidents present in Chicago, was appointed to confer with the societies of other armies relative to the expe- diency of consolidating the several societies into one.
General George Stoneman moved that a committee of three be appointed to confer with the other armies as to the time and place of the next annual meeting, and that the Committee on Consoli- dation report at the same time.
The Chairman appointed the following gentlemen as the Com- mittee on Conference : General George L. Hartsuff, General Graves, and Colonel W. W. Wheeler.
Adjourned, to meet at the Briggs House, at twelve M., same day.
The Society reconvened at the above-named hour.
On motion of Colonel J. A. Campbell,
Resolved, That the President and Secretaries be authorized to transact the necessary business of the Society until the next meet- ing ; also that they be authorized to fill the blank for an additional Corresponding Secretary with the name of a member residing at the place where the next meeting is to be held, when such place has been designated.
On motion of Colonel John Mason Brown, the thanks of the Society were tendered to the resident members, and to the citizens of Chicago generally, for their generous hospitality.

PURSUANT to call, the officers of the Army of Georgia met at the Sherman House, at ten o'clock.
The call was heartily responded to, and a full attendance present.
On motion, General William Cogswell, of Massachusetts, was called to the chair.
On motion of General Barnum, of New York, Major-General Henry W. Slocum was chosen to preside.
On motion of General Robinson, of Ohio, Captain R. B. Brown, of St. Louis, was chosen Secretary.
General Barnum moved that a separate organization be formed, to be known as " The Society of the Army of Georgia ;" and the motion was carried unanimously.
General Morgan moved that a committee of three be appointed to draft a Constitution and By-Laws; and the motion was carried.
The President appointed Generals Morgan, Barnum, and Walcott, as such committee.
General Cogswell moved that a committee of three be appointed to report officers for permanent organization. Carried.
The President appointed Generals Cogswell, and Robinson, and Captain Taylor.

Generals Robinson and Barnum, of the Twentieth Corps, General J. G. Mitchell, and Colonel Tolen Jones, of the Four- teenth Corps, were elected an Executive Committee.
On motion, the meeting adjourned, to meet again Wednesday, at nine A.M. ; when all officers and soldiers of the Fourteenth and Twentieth Corps were carnestly requested to be present to act on matters of importance.

Society called to order, General H. W. Slocum, President, in the chair.
Committee on Constitution and By-Laws were called upon for report.
General Barnum, of said committee, reported the Constitution and By-Laws, which were discussed, amended, and adopted as follows :
CONSTITUTION.
ARTICLE I.
This Society shall be called and known as " The Society of the Army of Georgia," and shall embrace all such officers and soldiers as have at any time served in this army, and who have been honorably discharged from such service; or who remain in service in the regular army, who shall have subscribed the Constitution and By-Laws of the Society.
Honorary members may, from time to time, be elected from among the officers of other armies of the United States, who have served with distinction in their armies.
ARTICLE II.
The object of the Association shall be to preserve and perpetuate the history of the Army of Georgia; to preserve and unite those patriotic sentiments, and to maintain and strengthen that courteous and friendly intercourse for which the members of this army have always been distinguished; to preserve the name and fame of the members of this army, who have fallen in the field, or who have otherwise perished in the service of their country, shall be one of the sacred duties of this Association, and no efforts shall be spared to collect and preserve in the archives of the Society, the testimonials of their deeds and services.
This Society tenders to the widows and orphans of our fallen comrades its warmest sympathy, and readily pledges itself to provide for the wants and relieve the suffering of all such of them as are destitute, by the voluntary contribution of its members, or in such other way as from time to time may be determined.
It further pledges itself to use all proper effort to procure for all such disabled soldiers, and their families, as are entitled thereto, the pen- sions and bounties now provided by law.

The welfare of the soldier's widow; the good. name and education of his children, shall always be regarded as a sacred privilege and trust of the Association.
ARTICLE III.
The officers of this Society shall consist of a President, and one Vice- President from each of the ten army organizations, one Corresponding Secretary, one Recording Secretary, and a Treasurer.
The Vice-President from each of the ten organizations, shall be selected by the members belonging to such organization.
The foregoing officers shall be elected at the regular meeting of this Society, and a vote of a majority of the members present shall elect.
ARTICLE IV.
The meeting of the Society shall be held annually, at such time and place as a majority of the members present, at any regular meeting, may determine by ballot. All members of the Society shall use their best endeavors to promote the interests of the Association, and maintain kindly feelings, and unanimity among the members. The members are expected to attend all regular meetings of the Society; and, in case of their inability to do so, will report to the Corresponding Secretary the cause of their absence.
ARTICLE V.
This Constitution may be altered or amended at any regular meeting of the Society, provided the .alteration or amendment proposed is submitted in writing, and filed with the Recording Secretary at least one month before the regular meeting at which it is proposed to present the same; and provided further, that two-thirds of the members be present at such meeting.
BY- LAWS.
ARTICLE I.
The regular meetings of the Society shall be opened by prayer, by some suitable person, to be selected by the presiding officer.
ARTICLE II.
All officers and soldiers who have served in the Army of Georgia, and have been honorably discharged from service, or may now be in the regular service, are entitled to membership; and, upon signing the Constitution and By-Laws of the Society, shall be entitled to full mem- bership.

ARTICLE III.
The regular dues of members shall be $- per year for officers, and $- per year for enlisted men, and shall be paid annually. Any member permitting his dues to remain unpaid for a period of over two years, shall be dismissed from membership, and can only be restored by the payment of all back dues, and a vote of two-thirds of the mem- bers present at a regular meeting.
ARTICLE IV.
All dues shall be paid to the Recording Secretary; and no funds shall be expended by the Treasurer, except upon the written order of the Recording Secretary, and countersigned by the President; and, at each annual meeting of this Society, the Treasurer shall report in detail the amount of funds received, and the disbursements made.
ARTICLE V. , i

At each annual meeting there shall be selected, in such manner as the Society shall determine, an orator, and, alternate, from the members thereof, of whom one shall deliver an address appropriate to such occasion, and on such subject as shall be of especial interest to the members of the Society of the Army of Georgia; said address to be delivered at the next annual meeting.
It shall be the duty of the retiring President to deliver an address of welcome.
ARTICLE VIII.
These By-Laws may be altered, amended, or additions made thereto, at any regular meeting of the Society, by a vote of two-thirds of the members present.
ARTICLE IX.
This Society, at its meetings, shall, in the discussion of matters brought before it, observe the rules governing deliberative bodies.

A communication was received from General Julius White, Secretary Army of the Ohio, accompanied by resolutions from said Society, inviting committees of conference as to the feasi- bility of consolidating the Societies of the four (4) Western Armies, viz. : The Army of the Tennessee, the Army of the' Cumberland, the Army of Georgia, and the Army of the Ohio - into one Society ; also as to time and place of holding next reunion.
General Henry M. Whittlesey moved that the communication be received, and that a committee of three be appointed ;- carried.
A Committee of Conference, and on time and place of holding the next reunion, were chosen, as follows : Generals Zeulich, Smith and Salomon.
On motion of General Robinson,
Resolved, That the Armies of the Tennessee, of the Cumber- land, of the Ohio, and of Georgia, be consolidated into one grand Army Society. Resolution unanimously adopted.
The following were elected honorary members : Generals Grant, Sherman, Thomas, Sheridan, Scofield, Hooker, and Joseph Knight.
General Henry M. Whittlesey offered the following resolutions, which were unanimously adopted :
Resolved, First, That the congratulations of this Army Society are tendered to General Cogswell for the eloquent and able address which he delivered before the assembled armies last evening ; and the success with which he represented this army at Crosby's Opera House last night.
Resolved, Second, That it shall be the duty of the President, and of the Executive Committee (in conjunction), to cause five hundred (500) copies of the Constitution and By-Laws. of this Army Society, together with all the proceedings of the meetings in organizing the same, to be published, and that to said com-

mittee, together with the President of the Society, be left the fixing of the time and place of the next reunion ; - adopted.
General Cogswell moved that the President appoint a com- mittee of five on History of the Army of Georgia, whose duty it shall be to compile, as soon as possible, a complete history of the Army of Georgia, and submit the same to the President, for his approval, before the same be printed.
General Henry M. Whittlesey moved that General Slocum be made ex-officio member of said committee ; - carried.
Captain David Taylor moved that we now adjourn, to meet at the call of the President. Adjourned.

Pursuant to call of the President, Society assembled at Head- quarters ; President Major-General Henry W. Slocum in the chair. The President announced the following Historical Committee : General John G. Mitchell, Fourteenth Corps, Generals H. M. Whittlesey, H. A. Barnum, and William Cogswell, and Captain A. E. Lee.
The Secretary offered the following resolution, which was adopted unanimously :
Resolved, That the members of the Society of the Army of Georgia hereby tender to their comrades of the Armies of the Tennessee, the Ohio and the Cumberland, their unfeigned thanks for the courtesy they have received from each of those respective Societies during the Grand Reunion of the last two days; and that we express to each of those Societies the great pleasure and

satisfaction we have enjoyed at this reunion, and that we join in congratulations to the members of the Societies of the Tennessee, of the Ohio, and of the Cumberland, on the complete success of this grand meeting.
General Zeulich offered the following :
Resolved, That this Society return their sincere thanks to the citizens of Chicago, and to the press, and to the members of the local committees having in charge the various matters appertain- ing to this Grand Reunion ; - adopted.
General Zeulich also offered the following :
Resolved, That we return a vote of thanks to the members of the Board of Trade of Chicago for their kindness in tendering the use of their spacious hall for the Grand Banquet ; - adopted.
On motion of General Zeulich, it was
Resolved, That at our next meeting all officers and soldiers are requested to appear in full uniform, designating their respective rank ; - adopted.
General Barnum moved that we adjourn, subject to the call of the President ; - adjourned.
