of the
University of Maine

CONSTITUTION
OF THE GENERAL ALUMNI ASSOCIATION OF THE UNIVERSITY OF MAINE
ARTICLE I.
Name, Object and Membership
Section I. The Alumni of the University of Maine hereby constitute themselves an association to be known as the General Alumni Association of the University of Maine.
Section 2. The object of this Association shall be to foster a spirit of loyalty and fraternity among the graduates and former students of the University of Maine and to effect united action in promoting the welfare of the University.
Section 3. All persons who have received a degree in regular course from the University of Maine, or who have been in attendance as students in any department of the University for a period of not less than one semester but who have not received a degree, are members of this Associ- ation.
A recipient of an honorary degree from the University may be elected to membership in"this "Association by a two-thirds vote of those present at any regular meeting of the Association.
ARTICLE II. Officers
Section I. The officers of this Association shall be a President, Vice- President, Clerk, Executive Secretary, Treasurer, and such other officers as may be chosen to have such duties and to be elected as prescribed in the By-Laws.
ARTICLE III. Place of Business
Section I. The principal place of business shall be at Orono in the State of Maine.

ARTICLE IV.
Seal
Section I. The seal of the Association shall be similar to that of the University of Maine but with the words "General Alumni Association, University of Maine."
ARTICLE V. Meetings
Section I. The annual meeting of the Association shall be held dur- ing Commencement week at a time and place in Orono to be determined by the Executive Committee of the Alumni Council.
ARTICLE VI. Amendments
Section I. This Constitution may be amended by a two-thirds vote at any annual meeting of the Association provided the amendments proposed shall have been submitted at a previous meeting of the Association or notice of such amendments shall have been sent to all members of the Association at least one month prior to the annual meeting, by means of the alumni publication or otherwise.

ARTICLE I.
Officers, Duties, and Election
Section I. The President, Vice-President, Clerk, and Treasurer shall 1 be elected by ballot at the annual meeting of the Association, a majority of the votes of those present and voting being necessary for a choice. Offi- cers so elected shall hold office until their successors are elected and qual- ified.
Section 2. The Alumni Council as hereafter elected shall at its an- nual meeting prior to the annual meeting of the General Association ap- point a nominating committee to consist of three members of the Associa- tion, one of whom at least shall be a member of the Alumni Council. The Executive Secretary shall be a member ex-officio of this committee with- out vote.
This Committee shall make nominations for the above officers upon which members shall vote but any other nominations may be made from the floor in addition to the nominations of the Committee.
Section 3. The President shall preside at meetings of the Association and of the Alumni Council and perform such other duties as pertain to the office.
Section 4. The Vice-President shall act in the absence or illness of the President. In the absence of both, a chairman pro tem may be elect- ed by the General Alumni Association or Alumni Council.
Section 5. The Clerk shall keep a true and permanent record of the meetings of the General Association, and of the Alumni Council if so re- quested by the Council, and perform such other duties as may from time to time be prescribed.
Section 6. The Treasurer shall have charge of the funds of the Association and shall deposit such funds in such depository as shall be selected by the Treasurer and approved by the Executive Committee of the Alumni Council and shall give bond in such sum as may be directed by the Executive Committee of the Alumni Council, the cost of the bond to be paid from the funds of the Association.
All bills of the Association shall be paid by check signed by the Treas- urer and countersigned by the Executive Secretary or the President of

the General Alumni Association in the absence of the Executive Secretary.
The fiscal year shall be from July first to July first and the Treasurer shall submit an annual report at the annual meetings of the General As- sociation and Alumni Council corrected to June first with estimated ex- penses for the remainder of the fiscal year.
Section 7. The Executive Secretary shall be chosen annually by the Alumni Council not later than September first and shall serve until July first or until his successor is chosen and qualified. The rate of yearly compensation, if any,, shall be fixed by the Council. It shall be the duty of the Executive Secretary to keep a registry of all members of the As- sociation, to keep in touch with the local and other organizations of the Alumni and to assist them in their work, to see that information concern- ing the welfare of the University is distributed to the Alumni, and to act as executive officer of the Association subject to the control of the Execu- tive Committee of the Alumni Council, and perform such other services and duties as may from time to time be prescribed by the General Associ- ation or Alumni Council.
ARTICLE II. Alumni Council
Section I. The Alumni Council shall be the representative body of the Association. It shall receive reports of all meetings of the Executive Committee of the Council. It shall be charged with consideration of gen- eral policies of the Alumni Association and shall approve recommenda- tions of the Executive Committee in matters affecting the Alumni As- sociation or the welfare of the University, and shall exercise all the authority of the Association with power to act in the name and stead of the Association between meetings of the Association.
Section 2. (a) The membership of the Alumni Council shall consist of one member of the College of Agriculture to be nominated and elected by a majority of the members of this college present and voting.
(b) One member of the College of Arts and Sciences to be nomi- nated and elected by a majority of the members of this College present and voting.
(c) One member of the College of Technology to be nominated and elected by a majority of the members of this college present and voting.
(d) One member of the College of Law to be nominated and elected by a majority of the members of this college present and voting.
(e) Eleven members at large including at least one woman selected from any college or colleges of the University and to be nominated and elected by a majority of the whole Alumni Body present and voting.
(f) The Alumni representative or representatives of the Board of Trustees of the University shall be members ex-officio of the Council.

(g) The President and Vice-President of the General Alumni As sociation shall be ex-officio members of the Council.
Section 3. The President of the General Alumni Association shall in each year appoint a committee on nominations as follows: Three from the College represented by the retiring member or members and three at large who shall represent the members at large. The three representing the said College shall nominate at least one Alumni member for each va- cancy to be filled from said College; the members at large shall in like manner nominate at least one alumni member for each vacancy among the members at large. These nominations shall be voted upon at the an- nual meeting by members qualified to vote.
Section 4. In case of a vacancy occuring during the year, the Execu- tive Committee of the Alumni Council shall make a temporary appoint- ment until the next annual meeting when a new member shall be elected to serve the incompleted term.
Section 5. Members of the Council shall hold office for three years except that those serving at the time these By-Laws are accepted shall finish their incompleted terms.
Section 6. The Council shall hold a regular annual meeting at Orono during Commencement week and preceding the meeting of the General Alumni Association of the University. Other meetings may be held at the call of the President of the Association or the Executive Committee.
Section 7. The President and Vice-President of the General Alumni Association shall be ex-officio the general officers of the Council, but the Council may elect from among its own members such additional officers as it may deem necessary. Officers shall discharge the duties usually in- cumbent upon such officers, together with any others which may be as- signed by the Council.
Section 8. (a) The Executive Committee of the Alumni Council shall have and exercise all the authority of the Association with authority to act in the name and stead of the Association between meetings of the Council. The Executive Committee shall have the authority to call special meetings of the Alumni Association whenever in their opinion an emer- gency requiring such a meeting arises.
(b). The Executive Committee shall consist of five members of the Council appointed by the President of the Association. In addition the President and Vice-President of the General Association shall be ex- officio members of the Executive Committee with voting power.
(c). The President shall designate one member of the Committee to act as Chairman. In his absence the President shall preside, or in the absence of both the committee may elect a chairman pro tem.
(d). The Executive Secretary shall act as clerk of the Executive Committee meetings, and shall furnish all members of the Council with minutes of all meetings.

(e). The Executive Committee shall meet at the call of the Chair- man or at the request of three members of the Committee.
Section 9. Bills incurred by vote of the Council or Executive Com- mittee of the Council shall be defrayed from the treasury of the General Alumni Association.
Section 10. Any member failing to attend two consecutive annual meetings of the Council shall be considered to have forfeited his mem- bership, and his vacancy shall be filled as provided in Article II, Section 4, of the By-Laws.
ARTICLE III. Standing Committees
Section I. Standing committees as required shall be appointed an- nually by the President to serve until the following annual meeting, and to have such duties and powers as instructed by the President. Special committees may be elected by the Council or Executive Committee of the Council or appointed by the President of the Association from time to time as occasion may require.
ARTICLE IV. Dues
Section I. The annual dues shall be fixed each year by the Alumni Council.
Section 2. Dues are payable in advance on or before the date of the annual meeting.
ARTICLE V. Local Alumni Associations
Section I. Local alumni associations may be organized upon written application to the Executive Secretary signed by not less than twelve alumni residents in any locality. They shall be entitled to recognition upon the approval of the Executive Committee of the Alumni Council, and a written agreement to conform to the general requirements of the General Association.
Section 2. The local Alumni Associations shall be charged with the conservation and promotion of the alumni loyalty and enthusiasm in the locality in which the association operates.
They shall seek to stimulate interest in the University and to extend knowledge of its activities.
They shall make known to the Executive Secretary any information of value to the University or thie Alumni.

Section 3. Any member of the General Association shall be consid- ered eligible for membership in a local association.
Section 4. Each local association shall meet at least once annually.
Section 5. As far as possible local associations shall adopt uniform systems of government.
ARTICLE VI. Class Secretaries
Section I. Each class prior to graduation shall select one member to act as class secretary, whose duty it shall be to cooperate with the Execu- tive Secretary of the General Association in promoting the activities of the alumni, particularly among the members of the class represented by the secretary.
Section 2. In case of a vacancy, the President of the General As- sociation shall make an appointment until such time as the members of the class shall fill the vacancy through their own selection.
ARTICLE VII. Election of Alumni Trustee
Section I. The Public Laws, State of Maine 1883, Chapter 196, pro- vide that a graduate of the University of Maine shall be nominataed by the General Alumni Association to serve for a period of three years as a member of the Board of Trustees of the University.

"AN ACT to provide for the addition of one member to the Board of Trustees of the State College of Agriculture and the Mechanic Arts, and to make such member from the graduates of said college.
Be it enacted by the Senate and House of Representatives in Legis- lature assembled, as follows :
"Section I. That one additional member shall be added to the present board of trustees of the State College of Agriculture and the Mechanic Arts, who shall be a graduate of said college, and not less than twenty- five years of age, and a resident of this State, and shall hold his office for a term of three years, so that said board of trustees shall hereafter consist of nine members, including the secretary of the Maine Board of Agriculture.
"Section 2. That the Governor, with the advice and consent of the Council, shall appoint such member of said board of trustees to fili such vacancy upon nomination of the alumni association of said college, made at any regular meeting of said association, held for that purpose, and made known to the Governor and Council by the secretary of said associ- ation, under scal.

"Section 3. Said alumni association shall make such appointment, and the secretary shall make the appointment known to the Governor and Council within six months after any vacancy may occur in such position, or after the approval of this bill by the Governor, and in case such ap- pointment shall not be made by said association within said six months, or said appointment shall not be made known to the Governor and Coun- cil within said six months, as hereinbefore provided, then the Governor and Council shall appoint some person who is a graduate of said college, subject to the provisions of section one, to fill said vacancy."

ARTICLE VIII.
Alumni Publication
Section I. THE MAINE ALUMNUS shall be the official publica- tion of the Alumni Association.
ARTICLE IX.
Amendments
Section I. These By-Laws may be amended by a two-thirds vote at any annual meeting of the Association provided the amendments proposed shall have been submitted at a previous meeting of the Association or notice of such amendment shall have been sent to all members of the Association at least one month prior to the annual meeting by means of the alumni publication or otherwise.
