CHARTER OF 1787


To confirm and amend the Charter of incorporation of the United Swedish Lutheran Churches of Wicaco, Kingsessing, and Upper Merion, called Gloria Dei, St. James, and Christ Church.


SEC. 1. Whereas, Thomas Penn and Richard Penn, Esqs. late proprietors of the province of Pennsyl- vania, (now commonwealth of Pennsylvania,) by their letters patent, dated the twenty-fifth day of Septem- ber, one thousand seven hundred and sixty five, under the great seal of the then province, did grant a char- ter of incorporation to the United Swedish Lutheran Churches of Wicaco, Kingsessing, and Upper Merion, by the name and title of the United Swedish Lutheran Churches of Wicaco, Kingsessing, and Upper Merion, in the county of Philadelphia, and province aforesaid. And whereas the present rector, church-wardens and vestrymen of the said united churches, viz.

Peter Rambo, and Lindsay Coates, vestrymen, or a majority of them, by their petition to this house, have prayed that the said charter may be confirmed by act of the legislature of this Commonwealth, and such alterations, additions and amendments made, as well for the future benefit and advantage of the said United Churches, as also to render the same con- formable to the constitution and laws of this Com- monwealth; and whereas this house have thought it expedient and necessary to grant the prayer of the said petitioners :


SEC. 2. Be it enacted, and it is hereby enacted by the representatives of the freemen of the Common- wealth of Pennsylvania, in General Assembly met, and by the authority of the same: That every matter, . clause, section and article granted and contained in the aforesaid charter, except such parts as are here- after repealed, made null and void, are hereby ratified, confirmed and made good in law, to the before men- tioned rector, church-wardens and vestrymen of the said United Churches of Wicaco, Kingsessing and Upper Merion, and their successors, duly chosen and nominated for ever.


SEC. 3. And be it enacted by the authority afore- said, that the said rector, church-wardens and vestry- men, and their successors, by the name before men- tioned, or a majority of them met from time to time, shall have power and authority to make rules, by-laws

and ordinances, and to do every thing needful, for the good government and support of said churches. Pro- vided always, that the rules, by-laws and ordinances so made, be not repugnant to the constitution of this Commonwealth, and the laws thereof, now in force or which hereafter may be enacted.


SEC. 4. And be it enacted by the authority afore- said, that the said rector, church-wardens and vestry- men, and their successors by the name before men- tioned, shall be able to sue and be sued, plead and be impleaded, before any judge, judges or justices of any court of record within this Commonwealth, in all and all manner of suits, complaints, pleas, causes, matters and demands of whatsoever nature, kind or form they be, and all and every other matter and thing to do in as full and effectual a manner as any other person or persons, bodies politic and corporate within this Commonwealth, can, might, or may do.


SEC. 5. And whereas it is represented to this house, that the Swedish language is almost extinct, and in consequence thereof, the mission from Sweden may probably cease to be continued, according to the an- cient custom and usage. In that case, and not other- wise, the church-wardens and vestrymen of the said United Churches, for the time being, shall convene together the congregations of the said United Churches of Wicaco, Kingsessing and Upper Merion, by notice given in one or more of the public news-

papers in this city, for at least three weeks success- ively, and a majority of the said congregation so met, (who are descendants of, or intermarried with, the descendants of those ancient Swedes, whose names are upon record in the church books of Wicaco,) as donors to, or purchasers of, the lands now held and belonging to the said church, and who have heretofore attached themselves as members of the said United Churches by serving in the office of vestrymen, or attending divine service either by themselves or fami- lies, together with a majority of the church-wardens and vestrymen, shall establish some rules or regula- tions for the future choice or election of a rector and other minister or ministers to supply the said churches. Provided always, that such rector and other ministers shall be in the ministry of the Lutheran or Episcopal Churches, and hold their faith in the doctrine of the same.


SEC. 6. And whereas it is the particular desire of the present members of the said United Chuches to increase their number of members in the said congre- gations. Be it enacted by the authority aforesaid, that any person a native of Sweden who shall or here- tofore has emigrated into, and has legally become a citizen of this Commonwealth, and is desirous of be- coming a member of each or either of the said churches, such person of good character, upon ap- plication to the vestry at least six months before the

day of election for vestrymen, shall be voted for as a member on the same day the election for vestrymen is held, and if duly chosen by the congregations of the said churches, shall be entitled to all the rights and privileges which the present members of the said churches now enjoy.


SEC. 7. And be it enacted by the authority afore- said, that so much of the fifth section of the before recited charter as is supplied by the third section of this act, and so much of the seventh section of the before recited charter as is also supplied by the fourth section of this act, are hereby repealed, made null and void, and of no effect whatsoever.

Qualifications of Voters in the Swedish Churches.


BY-LAW PASSED IN 1830.


"Be it ordained, that from and after this time, all such persons as are descendants of, or intermarried with the descendants of those ancient Swedes whose names are on record in the church books at Wicaco, as donors, or purchasers of the lands belonging to the said church, who have become actual members of the congregation, by serving in the vestry, or holding a seat in either of the said three United Churches, and attending divine service therein; and all such native Swedes, and their descendants, as have been, or hereafter may be, legally elected members of the said three United Churches, and who hold seats and attend divine service as aforesaid, shall be entitled to vote for vestrymen; and no other persons whatever shall be admitted to vote at such elections; any pro- vision, in any by-law heretofore passed, to the con- trary notwithstanding."

THE SWEDISH HISTORICAL SOCIETY OF AMERICA.


FOUNDED 1905.


CONSTITUTION.


§ 1. The name of this Society shall be THE SWEDISH HISTORICAL SOCIETY OF AMERICA.


Its principal office shall be in Chicago.


Its objects shall be :


First: To promote the study of the history of the Swedes in America and their descendants.


Second: To collect a library and museum illustrat- ing their development in America.


Third: To issue publications relating to the his- tory of the Swedish people in Sweden and America.


Fourth: To encourage the study of Swedish his- tory and literature in American universities.


§ 2. Any person approved by the Committee on Membership may become a member of the Society upon payment of $2, and may remain a member by paying $2 a year. Members who have been in arrears more than a year after notice has been given shall lose their membership in the Society.

§ 3. Honorary members may be elected by unani- mous vote, upon recommendation of the Council.


§ 4. Any member who has paid to the Society, in one sumn, $50, shall be a life member and exempt from further dues.


§ 5. All receipts from life fees and all donations not made for a specific purpose shall constitute an endowment fund, which shall be invested, and of which only the income shall be used.


§ 6. The affairs of the Society, including the adop- tion of by-laws, shall be in the hands of a Council of fifteen members, who shall be elected by the Society at its annual meeting, for three years, five each year, except that at the first election five shall be elected for one year, five for two years, and five for three years. The Council shall have authority to fill all vacancies . among its members that occur between annual meet- ings. Any person who has donated $500.00 in one sum for the purposes of the Society may be elected an honorary member of the Council.


§ 7. The Council shall, upon its election, annually elect from among its own members a President, a Vice-President and a Treasurer of the Society, and also a Secretary, a Librarian and such other officers and assistants as are deemed necessary, and may fix their compensation.


§ 8. The President, Secretary and Treasurer shall constitute a standing Committee on Membership. The

Council shall also appoint the following standing committees : A Finance Committee, a Publishing Committee, a Committee on Relations with Other Or- ganizations, and a Committee on Library and Museum. The President, Vice-President, Secretary, Treasurer, and three other Councillors elected by the Council shall constitute the Executive Committee of the Society.


§ 9. Special meetings may be called by the Coun- cil, and shall be called by the President on the request of ten members. The annual meeting of the Society shall be held at such time and place as the Council may determine. At least one month's notice shall be given for all meetings, and the call for a special meet- ing shall specify the business for which it is called; no other business than that which has been stated in the call for such special meeting may be transacted.


Fifteen members shall constitute a quorum of the Society, and five Councillors a quorum of the Council.


§ 10. No part of the collections of the Society, except duplicate material in the library or museum, shall ever be dispersed. Duplicate material may be used for purposes of exchange at the discretion of the Council. If the Council at any time deems it ad- visable to deposit with some other institution the library or other collections of the Society, it shall call a special meeting of the Society to take action in the matter.

In case of a dissolution of the Society its funds, library and other collections shall be given in per- petual trust to some public library or other per- manent institution or institutions as the Council may direct.


§ 11. Amendments to this constitution may be made by a two-third vote of those present at an annual meeting of the Society, provided that notice of the amendments be sent to each member at least thirty days before its adoption.

BY-LAWS.


1. The Council shall hold three regular meetings a year, one as soon as practicable after the annual meeting of the Society, one in June and one in De- cember, at such time and place as the Executive Com- mittee may determine; and special meetings, as de- cided by the Executive Committee or at the request of the President or of three members of the Council.


2. When the Council is not in session, the affairs of the Society shall be in the hands of the Executive Committee. Three members shall be a quorum of the Executive Committee. The Executive Committee shall meet at the call of the President.


3. Votes of the Council may be obtained by the Secretary through correspondence on any question that comes before the Executive Committee, if re- quested in Committee by the President or by two other members thereof; but no action shall be determined by such vote, unless two-thirds of the members of the Council vote in its favor.


4. No action shall be taken committing the Society to any policy, unless approved by the Council.


5. No expense shall be incurred for the Society, unless approved by the Executive Committee.

6. All bills shall be approved by the President be- fore being paid by the Treasurer.


7. The Council shall, on its first regular meeting of each year, appoint the following committees, in addition to the standing committees: A program committee for the next annual meeting, with a mem- ber of the Council as chairman ; a press committee, consisting of two members of the Council; an audit- ing committee of two members outside of the Council; and at its December meeting, a nominating committee of three members, including one of the not outgoing members of the Council as chairman.
