ILLINOIS FEDERATION WOMEN'S CLUBS
The officers of the Federation shall be officers of the board of directors.
Sec. 2 .- Officers shall be elected on the last day of the annual meeting by ballot of the officers of the Federation and delegates representing clubs which have paid their dues for the ensuing year.
Sec. 3 .- Officers shall be elected biennially and shall hold office for two years and until the adjournment of the annual meeting at which the election is held. Their respective duties shall be the same as in similar organizations.
Sec. 4 .- Officers shall not be eligible for successive re-election in the same office.
Sec. 5 .- Vice-presidents shall be elected for two years, those from even congressional districts in even calendar years, and those from odd congressional districts in odd calendar years.
Sec. 6 .- At the first meeting of the board of directors, a nominat- ing committee of nine members, representing as nearly as possible the different parts of the state, shall be elected. The committee shall send to each club in the Federation a blank to be filled out with names of persons the club desires to nominate as general officers for the ensuing year. Vice-presidents for congressional districts shall be nominated on the first day of the annual meeting of the Federation, by the delegates from the clubs of the respective congressional districts, and such nom- inations shall be reported to the nominating committee. From these reports and the blanks returned by the clubs the nominating committee may make out a ticket to be presented to the Federation at said annual meeting.
ARTICLE V.
MEETINGS.
Section 1 .- The annual meeting of the Federation shall be held on the third Wednesday in October, and shall be called by printed notification to the different clubs.
Sec. 2 .- A meeting of the board of directors shall be held the day previous to the annual meeting and at the call of the president during the year. Seven shall constitute a quorum.
Sec. 3 .- To secure suitable arrangements for each annual meeting. a local committee from the place of meeting shall be chosen to act with the board of directors in arranging for the conduct and general inter- est of the meeting.
ARTICLE VI.
DUES.
The initiation fee of $3.00 paid by each club to the corresponding secretary upon application for membership, shall be in lieu of dues for the current Federation year, but annual dues of $3.00, for each ensuing

year, shall be payable at or before the annual meeting. Any club not paying its dues after two notifications of delinquency have been sent, shall at the end of a year be dropped from membership in the Feder- ation.
ARTICLE VII.
. . DELEGATES.
Each club belonging to the Federation may elect two delegates and alternates, but no vote can be cast except by delegates present or alternates acting for absent delegates.
ARTICLE VIII.
Standing committees may be elected by the board of directors accord- ing to its discretion. Vacancies on the board of directors, or on the com- mittees, may be filled by the board. Vacancies occurring between meet- ings of the board may be filled by the president.
ARTICLE IX.
Members of the federated clubs shall be admitted to meetings of the Federation and accorded the privileges of the floor, but can not, un- less otherwise entitled, make motions or vote.
ARTICLE X.
There shall be no salaried officers, but proper allowance may be made by the board of directors for clerk bire and for stationery and postage.
ARTICLE XI.
All resolutions relating to the policy of the Federation shall be re- ferred to the board for consideration before action is taken.
ARTICLE XII.
In the conduct of meetings. Roberts' Rules of Order shall be the authority of parliamentary procedure.

ARTICLE XIII.
The constitution may be amended at any annual meeting by a two- thirds vote of those present and entitled to vote. Proposed amendments shall be submitted for approval to the board of directors, and if approved notice of the same shall be appended to the call for the annual meeting.

ORGANIZATION-CERTIFICATE OF INTENTION.
29 .- Societies, corporations and associations (not for pecuniary profit) may be formed as ihereinafter provided. Any three or more persons, citizens of the United States, who shall desire to associate themselves for any lawful purpose other than for pecuniary profit, may make, sign and acknowledge before any officer authorized to take acknowledgment of Deeds in this State, and file in the office of the Secretary of State, a certificate in writing, in which shall be stated the name of title by which such corporation, society or association shall be known in law, the par- ticular business and objects for which it is formed, the number of its trus- tees, directors or managers, and the names of the trustees, directors or managers, selected for the first year of its existence.
CERTIFICATE OF RECORDING IN COUNTY.
30 .- Upon filing a certificate as aforesaid, the Secretary of State shall thereupon issue a certificate of the organization of the corporation, soci- ety or association, making a part thereof a copy of all papers filed in his office in and about the organization thereof, and duly authenticated under his hand and seal of State, and the same shall be recorded in a book for that purpose in the office of the Recorder of Deeds of the county in which the principal place of business of such corporation, society or association is located. Upon complying with the foregoing conditions, the corporation. society or association shall be deemed fully organized, and may proceed to business: Provided, The Secretary of State shall not issue a certificate of organization to any corporation, society or association under the name of any then existing.

31 .- Corporations, associations and societies not for pecuniary profit formed under this act shall be bodies corporate and politic, by the name stated in such certificate, and by that name they and their successors shall and may have succession, and shall be persons in law capable of suing and being sued; may have power to make and enforce contracts in relation to the legitimate business of their corporation, society or association ; may have and use a common seal, and may change or alter the same at pleasure. and they and their successors, by their corporate name, shall, in law, be capable of taking, purchasing, holding and disposing of real and personal (state for purposes of their organization; may, by their trustees, directors or managers, make by-laws, not inconsistent with the Constitution and laws of the State, or of the United States, which by-laws, among other things, shall prescribe the duties of all officers of the corporation, society or association, and the qualification of members of the corporation, and shall provide for annual meetings of such members, and for the calling of special meetings, when necessary, and for the number of members that shall constitute a quorum for the transaction of business at any such annual or special meetings. At any such meeting members of the cor- poration may take part and vote in person or by proxy. The by-laws of the corporation, made by the trustees, directors or managers, may be modified, altered or amended at any such annual meeting, or at any adjourned session thereof. Associations and societies which are intended to benefit the widows, orphans, heirs and devises of deceased members thereof, and members who have received a permanent disability, and where no annual dues or premiums are required, and where the niembers shall receive no money as profit or otherwise, except for permanent disability, shall not be deemed insurance companies.
32 .- Corporations, associations and societies not for pecuniary profit formed under the provisions of this act may elect trustees, directors or managers from the members thereof, in such manner, at such times and places, and for such periods as may be provided by the certificate of incor- poration, or in case such certificate does not contain such provisions, then is may be provided by the by-laws; which trustees, directors or managers shall have the control and management of the affairs and funds of the corporation, society or association. Said trustees, managers or directors may, upon consent of the corporation, society or association, expressed by he vote of a majority of the members thereof, borrow money, to be used solely for the purposes of their organization, and may pledge their prop- erty therefor. Whenever trustees, managers or directors shall be elected. certificate under the seal of the corporation, giving the names of those elected and the term of their office, shall be recorded in the office of the Recorder of Deeds where the certificate of organization is recorded. cancies in the board of trustees, directors or managers shall be filled in the manner provided by their by-laws, and upon filling any vacancy a like certificate shall be recorded.
DISSOLUTION-NO DISTRIBUTION EXCEPT ON.
33 .- No division or distribution of the property of such corporation, society or association shall be made until all debts are fully paid, and then only upon its final dissolution and surrender of organization and name; nor shall any distribution be made except by vote of a majority of the members. When a distribution of their property is contemplated, the trustees, directors or managers shall file a statement, under oath, in the office of the Recorder of Deeds in the county where the business office is located, that all debts of the corporation, society or association are paid. And in case a distribution shall be made before filing such statement under oath, or if such statement shall be wilfully false, said trustees, direc- tors or managers shall be, jointly and severally, liable for the debts of such corporation, society or association. When a final dissolution of any cor- poration, society or association organized by virtue of this act has been agreed upon, the trustees, directors or managers shall file, in the office of the Secretary of State, a certificate thereof, under seal of the corpor- ation, and upon the filing of said certificate, such organization shall cease to exist.
CHANGE OF ARTICLES OF ASSOCIATION.
34 .- Any such corporation, society or association may change its arti- cles of association in the manner prescribed by their own rules, but no such change shall be of legal effect until a certificate thereof, under seal of such corporation, society or association, shall be filed in the office of the Secretary of State, and recorded in the office of the Recorder of Deeds in which the original certificate was recorded.
