The Washington County Historical Society
[On November 26, 1900, at the first session of the Court after the dedication of the new Court-House for Wash- ington county to its public uses, the Court, Hon. J. A. McIlvaine, P. J., and Hon. J. F. Taylor, A. L. J., called the attention of the Bar to the fact that the large room in the rear, off the third corridor of the building, had been intended and was set apart for the uses of an His- torical Society; when, after some further remarks, an order was made designating a number of gentlemen of the Bar as a committee to act, and suggested that a decree of incorporation for such a society should be ap- plied for. In pursuance of said order, the following Articles of Association were prepared and presented by Mr. Julius P. Miller, and Mr. Joseph F. McFarland, both of the Washington County Bar, Mr. Miller being now deceased.]

ARTICLES OF ASSOCIATION.
To the Honorable, the Judges of the Court of Com- man Pleas of Washington County, Pennsylvania:
In compliance with the requirements of the Act of the General Assembly of the Commonwealth of Pennsylvania, entitled "An Act to provide for the incorporation and regulation of certain corpora- tions," approved April 29th, 1874, and the supple- ments thereto, the undersigned, all of whom are citizens of Pennsylvania, having associated them- selves together for the purpose hereinafter specified, and desiring that they may be duly incorporated ac- cording to law, do hereby certify:
First. That the name of the proposed corpora- tion is "The Washington County Historical Society."
Second. That said corporation is formed for the purpose of collecting and preserving books, papers, records, writings and relics, legal, military and otherwise, relating to the history of Western Pennsylvania and especially of Washington County, and for these purposes to have, possess and enjoy all the rights, benefits and privileges conferred by the said act and its supplements.
Third. The business of said corporation is to be transacted at Washington, in the said county of Washington.
Fourth. The said corporation is to exist per- petually.

Final Order
FINAL ORDER.
In the Court of Common Pleas of Washington County; in the matter of the incorporation of The Washington County Historical Society.
And now, December 17th, 1900, the within and foregoing certificate of incorporation being presented in open court and due proof of publication of the notice of the intention to present the same being made, I hereby certify that I have perused and examined said instrument and find the same to be in proper form and within the specified purposes of corporations of the first class according to section 2 of the Act of April 29th, 1874, and that the said pur- poses are lawful and not injurious to the community. It is therefore ordered and decreed that the same be approved, and that upon the recording of the said charter and its endorsements and this order in the office of the recorder of deeds in and for said county, the subscribers thereto and their associates shall thenceforth be a corporation for the purposes and upon the terms and under the name therein stated.

CONSTITUTION. ARTICLE I.
Name. The name of this Society shall be "The Washing- ton County Historical Society."
ARTICLE II.
Objects.
Sec. 1. The Society has been organized "for the purpose of collecting and preserving books, papers, records, writings and relics, legal, military and otherwise, relating to the history of Western Penn- sylvania, and especially of Washington County," as provided in the decree for its incorporation entered by the Court of Common Pleas for said County, OL December 17, 1900, and recorded in the Recorder's Office for said County in Corporation Book No. 1, page 175.
Sec. 2. In furtherance of the purposes of this Society, the scope of its work shall not be limited by the present or future boundary lines of Washington County; and, while it shall give special attention to the collection and preservation of books, papers, records, writings and relics, illustrative of the his- tory and progress of said County, yet the collection and preservation of such materials illustrative of the history and progress of the State and of the Union of which that county forms a part, shall not be regarded as foreign to the Society's purpose.
ARTICLE III. Membership.
Sec. 1. The Society shall consist, for the pres- ent, of the persons named in the application for the incorporation of the Society as members thereof; each of whom shall, on or before the First day of March, A. D. 1901, subscribe his name to this Con- stitution and the By-Laws, and pay to the Treasurer

of the Society the regular membership fee; and any one of said persons failing so to sign and pay shall cease to be a member and can become such there- after only by admission in the manner provided with respect to new members.
Sec. 2. Any person, residing in the County of Washington, over sixteen years of age, may become a member of this Society upon the recommendation of the Board of Directors approved by a majority vote of all the members present at a regular or spe- cial meeting, and on subscribing to this Constitution and By-Laws, and the payment of the membership fee ...
Sec. 3. The judges of the several courts of record in and for the County of Washington, shall ex officio, during their terms of office, be honorary members of this Society, and shall enjoy all the rights and privileges of active members, except serv- ing on committees, voting and holding office; and shall be exempt from all dues and assessments.
Sec. 4. Any person making an absolute gift to the Society of Fifty dollars in money, or of histori- cal materials worth Fifty dollars in the judgment of the Board of Directors, shall become a life member of the Society, with all the rights and privileges of an active member, and shall be exempt from the pay- ment of membership fee or annual dues.
ARTICLE IV. Officers.
Sec. 1. The officers of this Society shall be a President, a Vice President, a Recording Secretary, a Corresponding Secretary, a Treasurer, a Curator, and a Board of Directors consisting of the President and four members.
Sec. 2. Upon the adoption of this Constitution each of said officers shall be elected to serve until the Second Monday of January, 1902, when their suc- cessors shall be elected.
Sec. 3. All elections shall be by ballot, unless ordered by a majority vote at the time, to be viva voce. Officers shall be elected at the annual meet- ing each year, shall enter upon their duties at once upon their election, and shall hold office until their successors shall be elected.
Sec. 4, All vacancies in offices and in elective committees, occurring otherwise than by expiration of term, shall be filled by a special election for the unexpired term.
ARTICLE V.
The Board of Directors, and Standing Committees.
Sec. 1. The affairs of the Society shall be man- aged by a Board of Directors, subject to the pro-

visions of the Constitution and By-Laws. And all appropriations of the funds of the Society shall be made by the Board of Directors, unless ordered by a majority vote of the Society.
Sec. 2. The Society may provide by its By-Laws for such standing committees and their duties as it may deem necessary.
ARTICLE VI. Meetings of the Society.
Sec. 1. There shall be an annual meeting of the Society on the Second Monday of January, in each year, for the election of officers, and such other busi- ness as may be presented; and a stated meeting on the first Monday of each of the months of May and October, in each year. At such stated meetings per- sons interested in the objects of the Society, but not members, may be invited and admitted to attend.
Sec. 2. Special meetings may be directed on motion at any stated meeting, or may be called at any time by the Board of Directors. At such special meetings no business shall be transacted except such as shall be specified in the call therefor. One week's notice of all special meetings shall be given by mail, or by advertisement in one daily newspaper ordered by the Recording Secretary.
Sec. 3. At any meeting of the Society, annual, stated, or special, the presence of five members shall constitute a quorum for the transaction of business.
ARTICLE VII. Admission Fees and Annual Dues.
Sec. 1. The admission fee shall in all cases be Three dollars, payable on signing this Constitution and the By-Laws; provided that, for persons under twenty-one years of age the admission fee shall be One dollar, payable on signing the Constitution and the By-Laws.
Sec. 2. The annual dues of members shall be as provided by the By-Laws.

ARTICLE VIII.
Suspensions, Expulsions and Withdrawals.
Sec. 1. Any member of this Society may be sus- pended or expelled from membership, for miscon- duct in his or her relations to the Society, or for failure to pay his or her annual dues as provided by the By-Laws, or for personal conduct inconsistent with the honor of a lady or a gentleman, on convic- tion thereof in such manner as may be prescribed by the By-Laws; and all interest in the property of the

Society held by persons expelled therefrom, or re- signing, or otherwise ceasing to be members, shall vest in the Society.
ARTICLE IX.
Amendments.
Sec. 1. This Constitution may be amended, but only by a majority vote of the members present at any stated meeting of the Society, being one-half the members thereof in good standing, and after notice of the proposed amendment, subscribed by three members, shall have been given at a previous stated meeting, and after such proposed amendment so sub- scribed shall have been posted in the Hall of the Society, from the meeting at which it was proposed to the meeting at which it is to be acted upon.
BY-LAWS.
ARTICLE I.
The Presiding Officers.
Sec. 1. At all meetings of the Society, the President, or in his absence the Vice-President, or, in the absence of both of them, any member selected by a majority of the members present, shall preside.
ARTICLE II. The Order of Business.
Sec. 1. At each stated meeting of the Society the order of business shall be as follows:
1. Reading, correction and approval of minutes of last meeting.
2. Presentation of petitions, letters, memorials, or other papers, which, requiring action, may be re- ferred to appropriate committees for report, or other- wise disposed of without debate.
3. Nomination and election of officers.
4. Report of applications for membership.
5. Election of members.
6. Reports of committees and officers, and ac- tion of the Society thereon.
7. Unfinished business.
8. New business.
9. Delivery of addreses, reading of papers, etc.
10. Adjournment.
Sec. 2. This order of business may be changed at any meeting by a vote of a majority of members present.

ARTICLE III. The Recording Secretary.
Sec. 1. The Recording Secretary shall keep a book to be called "The Record and Minute Book" of the Society,, in which he shall transcribe in order, (a) the Charter and Decree of Incorporation of this Society, and the certificate of the record thereof in the recorder's office; (b) the Constitution of the Society; (c) the By-Laws of the Society, leaving sufficient room thereafter for the signatures of the members; and following with (d) the record or his minutes of the proceedings of all meetings of the Society, after approval, and of all other matters of which a record thereof shall be ordered by the Society.
Sec. 2. He shall notify the officers and all mem- bers of Committees of their election and appoint- ment; shall cause notices to be given. by advertise- ment in one daily newspaper of all meetings, and in the case of a special meeting shall add a brief note of the object of the meeting.
Sec. 3. He shall keep a roll of the members of the Society, and shall furnish to the Treasurer the names of all persons newly elected to membership.
Sec. 4. As soon as convenient after he shall have recorded or minuted the same, he shall turn over to the Curator, for listing, filing and preserva- tion, the originals of all letters, petitions, memorials, addresses, papers, or other materials, proper to be preserved for the Society.
ARTICLE IV. The Corresponding Secretary.
Sec. 1. The Corresponding Secretary shall have charge of all the correspondence with individuals, or other societies or institutions, relating to the busi- ness or purposes of this Society; and after he shall have reported the same to the Society, for action thereon if necessary, he shall, as soon as convenient, turn over to the Curator the originals of the letters, books, documents, writings and materials received, for listing, filing and preservation.
ARTICLE V. The Curator.
Sec. 1. The curator shall appoint two assist- ants, if he deem the same. necessary, and he.and his assistants, under his direction and responsibility, shall have care and charge of all books, papers, records, writings, and relies of whatever kind or character, the property of the Society.

ner and method and places most suitable for their preservation and convenient examination, all books, papers, records, writings and relics, as well as all maps, plans, letters and documents of all kinds, or copies thereof, purchased by or donated to the Society.
, Sec. 3. The Curator shall be held responsible to the Society for the care and safe custody of all its said properties, whether purchased, donated or loan- ed; and under no circumstances shall any person, whether an officer or member, or not, be suffered or permitted to take from the Hall of the Society any item or article of its properties, of whatever nature or kind.
Sec. 4. The Curator shall keep a book to be called "The Catalogue" of the Society, in which he shall record, under separate and distinctive head- ings, lists of all the books, papers, records, writings and relics, including letters, maps. and all docu- ments of historical character, showing opposite each article, the name of the donor or lender, or from whom purchased, date of acquisition, and where it may be found for examination.
Sec. 5. And at each stated meeting of the Society the Curator shall report in writing a list of books, papers, records, writings and relics, etc., that shall have been acquired by the Society since its last stated meeting, and also a list of books, papers, records, writings and relics that have been lost or taken from the Hall of the Society since its last stated meeting, with such information as he may have concerning the same.
Sec. 6. The Curator shall take charge of all ad- dresses or papers in writing, upon historical sub- jects, as well as all lettters and communications to the Society or its officers and directed to be pre- served, and list and file the said addresses, papers, letters and communications, for preservation as part of the properties of the Society.
ARTICLE VI.
The Treasurer.
Sec. 1. In the discretion of the Board of Directors the Treasurer shall give bond, to be approved by said Board. He shall collect, and under the direction of the Board of Directors and upon their order disburse all the funds of the Society; and he shall keep regu- lar accounts thereof in books belonging to the Society, which books shall be open to the inspection of any member of the Board of Directors.
Sec. 2. At each meeting of the Society, when requested so to do, he shall report in writing the balance of money on hand, and any existing appro priations which may affect the same.

Sec. 3. At each annual meeting he shall make a full report of his receipts and expenditures, suit- ably classified, with a list of members in arrears for annual dues, with an estimate of the resources and probable expenses of the coming year.
Sec. 4. His report of receipts and expenditures for the year ending shall be audited by three mem- bers of the Society, to be elected at the stated meet- ing next preceding the annual meeting each year, who shall report upon said accounts at the annual meeting when the same are presented.

ARTICLE VII. The Board of Directors.
Sec. 1. The Board of Directors shall constitute an executive committee, having general management of the affairs of the Society, and they shall meet at the call of the President, three members present consti- tuting a quorum.
Sec. 2. They shall consider and determine what books, papers, records, writings and relics, and other illustrative historical materials, shall be purchased for the Society, and individually interest themselves with other members of the Society in soliciting con- tributions in money and in illustrative historical materials within the scope of the purposes of the Society.
Sec. 3. But no indebtedness of the Society shall be incurred by the Board of Directors in excess of the funds in the hands of the Treasurer not already appropriated, unless by the direction of a majority vote of the Society; and before any bill for the pur- chase of books, papers, records, writings and relics for the Society, shall be paid by the Treasurer, it shall be approved by the President or Vice President of the Board of Directors.
ARTICLE VIII. The Annual Dues.
Sec. 1. The annual dues payable by each mem- ber, after the first year of membership, shall be One dollar, payable within one month after the first Mon- day of January, in each year.
Sec. 2. If any member shall be in default for ninety days in the payment of any annual dues, the Treasurer shall notify by mail such member so in default, that unless such dues are paid within ten days thereafter the Board of Directors may, by order and without further notice, cause his name to be stricken from the roll of members; and the said Board of Directors shall have power to act accord- ingly.

ARTICLE IX.
Public Meetings.
Sec. 1. At least once a year, preferably the 22nd day of February, and as often thereafter in the year as the Society may determine, a meeting of the Society shall be held at which the attendance of the public, and especially of the teachers and advanced pupils of the public schools of the County shall be urgently solicited.
Sec. 2. At such meetings it shall be arranged that one or more addresses shall be delivered, or papers read, either by members of the Society or by persons not members, and upon subjects relating either to general history or the local history of West- ern Pennsylvania, and of such a character, if pos- sible, as may lead to a deeper interest in the pur- poses of the Society.
ARTICLE X. Suspensions and Expulsions.
Sec. 1. When any member shall charge in writ- ing that another member of this Society has been guilty of offenses which should cause him to be sus- pended or expelled from his membership, such charge shall be filed with the Board of Directors, who shall fix a time and place for hearing the same, and give reasonable notice thereof and of the charges made, to the member charged; and if, after due hearing, the Board of Directors shall report to the Recording Secretary that the charges are sustained, and that the member should be suspended or that he should be expelled, the said Secretary shall enter the proper order upon his roll; provided, however, that the mem- ber charged shall have the right to appeal to the Society.
ARTICLE XI. The Amendment of the By-Laws.
Sec. 1. These By-Laws may be amended at any stated meeting of the Society, but only by a majority vote of members present; provided that ten days notice in writing of the proposed amendment shall have been given to the Board of Directors, and that notice of the same shall have been given by the Re- cording Secretary in his notices of the meeting.
The foregoing Constitution and By-Laws of the said Society were adopted at a meeting of the in- corporators on Friday, February 1, 1901.
