TOWN WARRANT


To Harry J. Ainsworth, a Constable of the Town of Wilmington:


Greeting :- In the name of the Commonwealth of Massachusetts and in the manner prescribed in the By-Laws of said Town, you are hereby directed to notify and warn the inhabitants of the Town qualified by law to vote in Town affairs to meet and assemble at the Town Hall on Thursday the fourteenth day of November next at 8:00 o'clock P. M., to consider and act on the following Articles:


Article 1. To see if the Town will vote to sell water to the Town of North Reading, for such periods of time, in such manner, under such terms and conditions, and in such amounts, as it may determine; and to see if the Town will vote to authorize the Board of Water Commissioners to make a contract or contracts with the Town of North Reading therefor; or do anything in relation thereto.


Article 2. To see if the Town, for the purpose of paying the expense of constructing about 5080 feet of water main from the corner of Park and Woburn Streets along Park Street to the North Reading line, will vote to appropriate the sum of fourteen thous- and ($14,000.00) dollars, or any sum, and for the purpose of raising said sum, will vote to authorize the Treasurer to borrow, from time to time, amounts in the aggregate not exceeding said sum of four- teen thousand ($14,000.00) dollars, and to issue the note or notes of the Town therefor under the authority of Chapter 276 of the Acts of 1926, to be payable in not more than ten years from their respective dates, or do anything in relation thereto.


Article 3. To see if the Town will vote to authorize the Treas- urer, with the approval of the Selectmen, to borrow money for gen- eral municipal purposes under authority of and in accordance with the provisions of Chapter 49 of the Acts of 1933, as amended by Chapter 313 of the Acts of 1934, or take any action relative thereto.


Hereof fail not and make due return of this Warrant with your doings thereon to the Town Clerk immediately after making a serv- ice thereof.

TOWN MEETING


Record of Proceedings of the Special Town Meeting


Held November 14, 1935


The Meeting was called to order by the Moderator and the Warrant read by the Town Clerk, after which the Moderator pro- ceeded to take up Article 1.


Article 1. Motion by Mr. Harriman, That the Board of Water Commissioners be and they hereby are authorized to execute and deliver on behalf of this Town a contract with the Town of North Reading to supply water to that Town, substantially upon the terms and conditions set forth in the draft of proposed contract which has been presented and read to this meeting, a copy of which draft is to be made a part of the record of this meeting.


AGREEMENT


AGREEMENT made this day of 1935, by and between the Town of Wilmington, in the County of Middlesex, hereinafter called the party of the first part, and the Town of North Reading in the County of Middlesex, hereinafter called the party of the second part, both municipal corporations within the Commonwealth of Massachusetts.


WITNESSETH: That the party of the first part, under the authority of Chapter 276, Acts of 1926 agrees to deliver and sell to the party of the second part, who agrees to accept and pay for, water of a quality approved by the Massachusetts Department of Public Health for domestic purposes. Delivery shall be made at the boundary line between the towns on Park Street, and upon the following terms and conditions.


The party of the first part agrees


1. To install prior to May 1, 1936, and maintain thereafter as provided for by Chapter 276 of the Acts of 1926, a ten inch Cast Iron pipe main in Park Street, Wilmington, together with necessary equipment and connections to meet its obligations with the party of the second part under this agreement.

2. To deliver and sell to the party of the second part, water in sufficient quantity at a head not exceeding 290 feet above the United States Coast and Geodetic survey base, so called, to meet the needs of the party of the second part for all the usual water works purposes at a rate of one hundred dollars ($100.00) per million gallons.


The party of the second part agrees


1. To install and maintain, at its own expense, such meter or other apparatus for regulating and measuring the flow of water as may be necessary and convenient and of a type to be approved of by the National Board of Fire Underwriters and by the party of the first part's Superintendent of Water Department, or his successor in office, at the boundary line between the two parties in Park Street; also to install and maintain a satisfactory water level record- ing device between the storage tank of the party of the second part and the Pumping Station of the party of the first part, such device to be operated in a manner independent of the underground system.


2. To accept and pay for such quantity of water as is delivered through the above mentioned measuring device each month, but the total charge in any one calendar year shall not be less than a sum equal to the total of the following items, namely, one-tenth of the principal amount of any notes or bonds issued by the party of the first part to finance the construction required to be done by it hereunder, said notes or bonds not to exceed the actual cost of said construction, plus interest actually falling due on any such notes or bonds within said year, plus the cost of pumping the water furnished to the party of the second part herein agreed at three hundred dollars ($300.00) per year, plus a profit of two hundred dollars ($200.00) per year. If the first delivery of water to the party of the second part by the party of the first part shall not be on the first day of a calendar year, the payments for such year and also for the last calendar year into which this agreement shall run, shall be pro rated.


3. To accept water within thirty days after written notice by the party of the first part to the party of the second part, that the construction of the aforementioned pipe line is complete and the party of the first part is ready to deliver water under this agreement.


4. To save the party of the first part and its Board of Water Commissioners and Superintendent and any or all of them harm-

less against claims or suits for damages to persons or property within the limits of the party of the second part which shall direct- ly or indirectly arise from the delivery and sale of water under this agreement.


IT IS FURTHER AGREED between the parties hereto that


A. The party of the second part shall not draw in excess of three hundred thousand (300,000) gallons per day of twenty-four (24) hours without the previous consent of the party of the first part's Board of Water Commissioners.


B. In the event that by reason of accident or causes beyond the control of the party of the first part or its Board of Water Commissioners or Superintendent, the Pumping Plant or Works of the party of the first part can not supply sufficient water to meet the needs of both parties, the party of the first part shall share equally with the party of the second part such water as is avail- able during the period of such incapacity, and the party of the second part shall likewise if requested share equally with the party of the first part such quantity of water as may at the time be available in the party of the second part's storage system at a rate of one hundred dollars ($100.00) per million gallons. It is expressly pro- vided, however, that such incapacity shall be remedied within a reasonable time by the party of the first part unless prevented by causes beyond its control. It is further expressly provided that the party of the first part shall save the party of the second part, or its agents, and any or all of them, harmless against claims or suits for damages to persons or property within the limits of the party of the first part, which shall directly or indirectly arise from such delivery and sale of water, by the party of the second part to the party of the first part.


C. All water delivered by either party under this agreement shall be charged to the other party upon statements to be submitted by one to the other, on or before the tenth (10th) day of each month for the month last preceding. All waters delivered shall be paid for within twenty-one days from the date of the statement, and in the event that the party of the second part has not used a sufficient quantity of water to meet the minimum requirements of this agreement, the party of the first part shall, together with its twelfth statement each year, render a notice of adjustment which shall be paid, together

with the accompanying statement. Upon failure of either party to make payment as provided in this section (unless otherwise agreed upon between the parties hereto), the other party may thereupon cease to supply water after having given ten days written notice.


D. The meter and apparatus for regulating and measuring the flow of water between the parties shall be tested at least once each year at a time to be agreed upon between the parties hereto. In the event that either party shall desire a test of said apparatus, other than the annual test provided for, then such party shall give the other at least ten days written notice to have its representatives present at such test and shall bear the entire expense thereof.


E. As long as the party of the second part shall purchase its water supply from the party of the first part it is agreed that the party of the first part will refrain from selling water directly or in- directly to the North Reading State Sanatorium, unless compelled by law so to do.


F. In the event of any question or controversy concerning the quality of water for domestic purposes delivered under this agree- ment, the decision of the Massachusetts Department of Public Health shall be final and binding upon the parties hereto.


G. In the event that any dispute, difference or question shall arise between the parties hereto, or their successors, touching the construction, meaning or effect of these presents, or any clause herein contained, or the rights or liabilities of the said parties re- spectively under these presents or otherwise howsoever in relation to the premises except questions or disputes concerning the quality of water for domestic purposes delivered by the party of the first part to the party of the second part, the decision of which is otherwise hereinabove provided for, then every such dispute, difference or question shall be referred to the arbitration of three persons, one to be appointed as arbitrator by each of the parties hereto and a third arbitrator to be chosen by the other two. Such arbitration and the procedure under it shall be in compliance with Chapter Two Hundred and Fifty-one (251) of the General Laws of the Commonwealth of Massachusetts and any and all amendments thereto.


H. This agreement shall continue in full force and effect for a period of ten years from the date of the first delivery of water under it.

Motion by Mr. Harriman that the Town raise and appropriate fourteen thousand ($14,000.00) dollars for the purpose of constructing about 5000 feet of water main from the corner of Park and Woburn Streets along Park Street to the North Reading line and to ineet said appropriation that the Treasurer with the approval of the Selectmen be and hereby is authorized to borrow said sum under the provisions of Ch. 276 of the Acts of 1926 and to issue notes or bonds therefor, said notes or bonds to be payable in not more than ten years or at such earlier period as the Treasurer and Selectmen shall determine.

Motion by Mr. Hathaway, That the Treasurer, with the approval of the Selectmen, be and hereby is authorized to bor- row for general maintenance expenses of the Town the sum of $3,000.00 but in no event a sum in excess of the amount of tax titles taken or held by the Town, and to issue a note or notes of the Town therefor, all in accordance with the provisions of Chapter 49 of the Acts of 1933, as amended. The said sum of $3,000.00 is hereby appropriated for general school expenses.


Mr. Barrows stated that the Finance Committee approved of this Article in part .; To borrow the money only for general muni- cipal purposes.

The meeting was called to order by the Town Clerk in the ab- sence of the Moderator.


Motion by Mr. Melzar, That Mr. Herbert Barrows act as Moder- ator Pro-Tem for this meeting.

Article 1. Motion by Mr. Hathaway, that the Town vote to ap- propriate the sum of three thousand ($3,000.00) dollars for General School expenses for the balance of the year 1935, this being the amount that the Town Treasurer was authorized to borrow from tax titles in accordance with Chapter 49 Acts of 1933, as amended, at the Special Town Meeting held November 14, 1935.
