and thousands of dollars squandered, by incompetent, inexperienced, and careless steamboat clerks. But we are happy to know that an important change is rapidly taking place, and interested parties are becoming impressed with the importance of confining themselves to their legitimate professions, or of qualifying themselves for others before engaging in them. Honest, competent and worthy accountants are be- ginning to be appreciated, and properly remunerated for their services. Young gen- tlemen of the highest respectability, who have distinguished themselves alike for moral character, industry, and superior professional qualifications, are abandoning the "counting-house" for "the office."


Owners are requiring the books to be correctly kept. and exacting Trip State- ments and such other checks as are necessary to protect their interests from the in- competent, the careless, and the designing.


The old fashioned steam-boat clerks, who understood nothing but the "Recapitula- tion of Cash," are abandoning "the office" and seeking employment in other profes- sions, or they are qualifying themselves for a practical and intelligent discharge of their duties; and we arc anticipating a period not distant, when steamboating, as a profession, will be elevated to its legitimate and proper position, and its lucrative offices entrusted to those only who are competent.


An extensive acquaintance with steamboat owners, and an experience of thirteen . years in overhauling and adjusting steamboat Books, have induced us to believe it a duty we owe alike to ourselves and to those who are not perfect, but wish to be thoroughly qualified for the duties of their office, to call attention to this subject, and to give a more extensive outline of what our Institution contemplates. It is not a school in the common acceptation of that term, but it is pre-eminently a counting- house, or an office. Each respective gentleman has his own table, chair and draw- er, and receives personal or individual instruction during his continuance at the rooms.


The preparatory course to Steamboat Book-Keeping is substantially the same as that of the Mercantile, (except Commission operations, &c.,) after which the pupil enters upon his duties as second clerk. With his " Memorandum book," he receives his freight, dray-load after dray-load, signing his " tickets," as in the practical per- formance of his duties on the wharf ; when fully prepared, he opens his Books and proceeds in his work, receiving and paying out cash, recording his freight list, col- lecting his passage and freight bills, adjusting the accounts for damages, &c., winds up his trip, and makes out his ".balance sheet," exhibiting the gains or losses for every trip or month, as the case may be. The utility of this course has been fully established, in the popularity of those who have adopted it, as well as by those who are interested in Books kept by pupils of this institution. From among some thirty, who have completed their courses and distinguished themselves as competent to practically perform the duties of steamboat book-keepers, we beg leave to refer those wishing information to-

COMMERCIAL LAW.


The practicability of adopting Commercial Law as an important branch in a lib- eral and useful education will be apparent to all, and the absolute necessity of mak- ing it a constituent part of " a business man's education" grows out of the nature of the relation, that commercial usages and the mercantile profession sustain to the profession of law.


If a gentleman choose to adopt the mercantile profession, should he not know what constitutes a bargain in the eye of the law? with all that relates to a contract of sale? how far, in making a bargain, he may rightly avail himself of knowledge, which he knows the other does not possess, without informing him of it ? In other words, should he not know where is the dividing line between fair dealing and cheating ?.


If a merchant buy goods in a distant market, should he not understand his own rights, and also the duties and responsibilities of common carriers ?


If (as most prudent merchants do ) he effectan insurance upon his goods-if, in the regular course of transportation, or while in the warehouse, or when on sale in the store, those goods are subject to various perils,-is it not absolutely necessary for him to understand his own duties, and also the responsibilities of the Underwriters ?


If, to meet the demands for an increase of capital, or to supply themselves with additional counsel or assistance in trade, merchants find it convenient to associate themselves in partnership, should they not therefore be well acquainted with their respective legal rights, duties and guarantees ?


Indeed, the two professions are so intimately connected, and their reciprocal duties so marked, as to puzzle the intelligent business man to determine which is the greatest " boor," or the most unfortunate victim-a lawyer, unskilled in the management of accounts, acting as " Master in Chancery," or a merchant, unfamiliarized with the laws of trade, embarking in various complicated speculations or incurring high responsibilities. " Ah !" remarks a casual observer, "would you require every merchant to be educa- ted for a lawyer ?" "I answer, (says Judge Walker,) that while there is a vast field of law which Iwould advise the merchant not to meddle with, I would have him study the general principles of mercantile law, for the same reason that I would have a mechanic familiar with the tools of his trade. Indeed, so essential do I deem this kind of knowledge to every merchant, that, were I educating my son for that profes- sion, I would set apart at least two years of his novitiate expressly for this study ; nay more-so much do the two professions run into each other, especially in com- mercial cities, that if I were educating my son for the law, I should desire to have him spend at least the same period in a good counting-room. I speak now from my own professional experience. After having occupied more than the usual time in preparing to practice law, when I entered upon the practice, the most serious want I encountered was the want of a more accurate knowledge of those customs of mer- cantile law. But while I make this confession, let me say, on the other hand, that a somewhat extensive professional intercourse with the mercantile class, has often caused me to feel astonished at their profound ignorance of their legal rights and duties, although to that very ignorance I was indebted for the need of my professional services."


It is not the design of this department to produce lawyers, BUT IT SHALL BE ITS HIGHEST AIM TO KEEP MERCHANTS OUT OF LAW. Very great and insuperable obstacles have hitherto prevented the carrying into execution of our original intentions touch- ing this interesting subject, but our arrangements are such as to enable us to give the fullest assurance to the public, that in future a regular course of Lectures will be delivered during each session, embracing the following subjects, viz : Contracts in General, Contracts of Sale, Contracts of Affreightment, Contracts with Common Carriers, etc., etc .; Fire Insurance and Marine Insurance, with such other subjects as have a direct bearing on Mercantile contracts ; Bailments in general, Foreign and Domestic Bills of Exchange, Promissory Notes, Bonds, Covenants, and other sealed obligations ; Set-off and Recoupment, Principal and Agent, Principal and security, Corporations, etc., etc .; with such other subjects as may be of practical utility to the business man, and enable the merchantto understand his rights and responsibilities.

N. B .- The foregoing prices are founded upon the principle of charging a gentle - man for " instruction imparted," and not for the time he may attend, or the course for which he may be "registered ;" and a deduction, in all cases, will be made for " previous knowledge." To a young gentleman, writing a legible hand, a deduction will be made of five dollars ; to one competent to perform the ordinary calculations of an accountant, a deduction will be made of teu dollars ; and in like proportion for what may be known in Book-Keeping and Commercial Law.


An opportunity is thus given (to those who write a legible hand and can make the ordinary arithmetical calculatious taught in common schools,) of obtaining a practi- cal business education, for fifty dollars.


The time required to complete a full collegiate course will not exceed sixteen weeks, and may not require more than twelve; the hours of instruction, in the res- pective departments, being so arranged as to give each gentleman a command of his entire time ; his progress will, therefore, depend upon his application to studies and his capacity for receiving instruction.

WHEREAS, It has been represented to the General Assembly of this State, that great and important advantages would accrue to the Commercial Community of the city of St. Louis, by the incorporating of a Commercial College, to educate young men for mercantile pursuits, and afford facilities to such persons as may wish a scientific knowlege of Double-Entry Book-Keeping, Commercial Calculations, Commercial Law, and Penmanship ; and whereas, for the promotion of this object, it is the design of the associatiou hereinafter mentioned, to procure or erect such buildings as may be suited to the wants of the said association : Now, therefore, in order to encourage and facilitate the aforesaid object, and render the same more permanently and extensively uscful,


Be it enacted by the General Assembly of the State of Missouri, as follows :


SEC. 1. That Jonathan Jones, Public Accountant and Principal of a Commercial School in the city of St. Louis, be and is hereby empowered to associate with him competent Professors, to fill the following chairs, to wit: one for Double-Entry Book-Keeping, one for Commercial Law, one for Commercial Calculations, and one for Penmanship ; the same, (when thus appointed,) in company with the said Jona- thau Jones, shall, to all intents and purposes, be, in law, a body corporate ; and they, their associates, and successors, are hereby created, constituted and declared to be a body corporate and politic, by the name and style of " Jones' Commercial College ;" and by that name they may have perpetual succession, and shall be ca- pable of suing and being sued, pleading and being impleadedy answering and being answered unto, defending and being defended, in all courts and places whatever ; that they and their successors may have a common seal, and alter, change or break the same at will ; and that they may be capable in law of acquiring, holding and con- veying so much property, real, personal and mixcd, as may be necessary and requi- site for the association in the furtherauce of its objects, not exceeding fifty thousand dollars.


SEC. 2. That the said Jonathan Jones, his associates, and their successors, shall have the power to grant Diplomas, award Degrecs, confer Honors, and exercise all and siugular the privileges common to Commercial Colleges authorized by law in other States. They shall have the power to appoint their own successors, and such additional professors and servants as may be necessary to carry into effect the design of this association ; provided, nothing in this section be so construed as to conflict with section fourth of this act.


SEC. 3. When five or more students shall have completed a full course in Double- Entry Book-Keeping, Commercial Calculations, and Commercial Law, and acquire . a legible hand writing, (or shall otherwise satisfy the President as to their compe- tency,) then it shall be the duty of the said President, or his representative, by and
