By reason of the increased appropriations in 1938 over 1937, the tax rate rose to $44.20 per thousand. The major increases were for Public Welfare, W.P.A. Mate-

rials, Old Age Assistance, Snow Removal, High School Furnishings and other miscellaneous items. Heavy in- creases in tax rates were evaded in some communities by borrowing money for relief purposes, but Milford in- cluded the items in its tax rate, and up to June 21, 1938, the day when the tax rate was fixed, not a dollar was borrowed for current relief or other emergency purposes.
Many suggestions have been received for the enact- ment of a by-law with reference to the method of voting for appropriations and not leave the entire decision with the Town Meeting Members. It must not be overlooked, however, that under the law about three hundred fifty registered voters can ask for a referendum to the entire Town electorate on any appropriation exceeding $20,- 000.00, which would appear, under ordinary circum- stances to be sufficient check on excess appropriations.
Under the statute the Bureau of Old Age Assistance had to be separated from the Department of Public Wel- fare, and the Town Accountant's office was made avail- able for that purpose. At the same time the Tax Col- lector and the Town Clerk being in the same room caused much confusion and many complaints. It was thought best to make one job of it, so new offices were constructed in Dewey Hall for the Collector and the Town Accountant, and the Co-ordinator was moved from the front office to the rear.
The work of the Board of Selectmen, and the time necessary for its performance has increased tremendously in recent years. No longer are the weekly meetings on a single evening sufficient to transact the Town's business. Every person, who has any grievance against any Town Department lodges it with the Board of Selectmen, which except in few instances, is without power except to sug- gest and recommend. Under the present system of Town Government in Massachusetts, each elected department is supreme in its own sphere and final decisions as to policy and procedure rest with them.
Serious consideration should be given during the com- ing years whereby the various Town Departments might be more united with each other for the common purpose of efficiency and economy, under the supervision of a single administrator, who has the time and facilities for carrying on the affairs of this $15,000,000.00 corporation, known as the Town of Milford.

Recommendations
Traffic-We renew our recommendation of previous years that the abuse of the present parking rules on the business streets be corrected. A complete set of traffic rules and regulations have been approved by the Depart- ment of Public Works, but they are not accessible to the public in any convenient form. A W.P.A. Project has been applied for codifying these traffic rules in one pamphlet together with all other Town by-laws and easy reference to such special legislative acts as have been, from time to time, accepted by the Town.
Street Signs-During 1938 additional street signs were erected of the same design as those originally constructed in 1937 and we recommend a continuance of that pro- cedure in 1939, and in future years until the work is com- pleted. Continuous care is required, however, in main- taining the signs as they are frequently struck by ve- hicles and need replacement or repairs in many instances.
Town Zoning-In our report of 1938 we called attention to the Town of the report of the Zoning Board to the Special Town Meeting of June 18, 1937. We again recom- mend that this report be brought up, the Town properly zoned to prevent the indiscriminative construction and maintenance of unsightly structures and obnoxious trades without restraint.
Sidewalks The frequency of sidewalk accidents at a heavy cost to the Town emphasizes our recommendations of previous years for an appropriation of Five Thousand Dollars for the construction of cement sidewalks to sup- plement the work now being done under W.P.A. Thus far the Town Meeting Members have not agreed with this suggestion, but we believe it good business. We again recommend the appropriation.
Excess and Deficiency Account-We again recommend an appropriation from the Excess and Deficiency account for the purpose of using so much of it as is possible for the purpose of reducing the tax rate. Application should be made for its use by the Assessors to the State Direc- tor of Accounts before the tax rate is fixed, as was done in 1938. Uncollected taxes should be liquidated or the lien perfected before that date too. In this way the Town will have the benefit of the collection, and the taxpayer

still have a series of years to make the payment without loss of his property.
Care of Improvements Made Under W.P.A .- The im- provements done under W.P.A. projects are of permanent value to the Town, but it should be the business of some department to exercise supervision over them, keep them in repair and properly protected. The periodical cleaning out of Godfrey Brook and a uniform development of the reclaimed dumps and other properties is necessary. We again recommend an appropriation for the care and main- tenance of these projects, under the supervision of the Board of Selectmen.
On March 17, 1938 the Town suffered an irreparable loss in the death of Town Clerk Sullivan. Suitable resolu- tions adopted by the Town appear elsewhere in this Report.

Copy of Resolutions adopted at Special Town Meeting, June 13, 1938.
George W. Billings, Chairman of Board of Registrars, informed the meeting that the Selectmen and the Board of Registrars had framed a set of Resolutions upon the death of Town Clerk Dennis J. Sullivan and called upon Town Counsel, Wm. A. Murray, to read the Resolutions.
Resolutions
When in a community there occurs the death of a rep- resentative citizen, from the time of the earliest civili- zation, his fellowmen have paused in their daily occupa- tion to pay tribute to his memory. Thus an opportunity is given to make a just appraisal of his works, and we are once again reminded of the lessons we learned in our youth, that it is the simple virtues of humility, common honesty and mutual charity that shroud man's character in a celestial light which, even in the fulness of time, retains its brilliance unobscured and its lustre undimmed.
Such an occasion is now before us. For during the early hours of the morning of March 17, 1938, Town Clerk Dennis James Sullivan breathed his last. He was born in Milford, Massachusetts, June 30, 1868 in that section known as "The Plains," that district where the early pioneers, who, after wending their tortuous way through the New England forest from the Plymouth shore, made their first settlements, and it was there he made his home until well into middle life after the death of his mother. Through the generosity of the taxpayers of that generation, he received his education in the public schools, and from the Godfearing teachers of that day there were imprinted on his young mind patriotic ideals, loyalty, self-reliance and truth, attributes which re- mained with him throughout his entire life. A faithful adherent of the Church of his fathers, he was always tolerant and respectful of the religious beliefs of others, for he recognized the basic principles of political equality and religious freedom as the cornerstone on which the Government was set up.

He entered the public service on March 4, 1907, when he was first elected to the office of Town Clerk, and for thirty-one consecutive years he was the unanimous choice of the townspeople for the same office. Gifted with a remarkable memory and endowed with prodigious energy, he soon mastered the technical details of the office, ac- quired a thorough knowledge of the laws and regulations respecting matters of government, and his advice and his opinions on municipal problems were sought by many. Stricken in later life with an illness that crippled his frame and slowed his step, he nevertheless carried on efficiently, serenely and patiently until the end. But
"Wisdom dying leaves no heir behind,"
and there has gone with him all his powers; his profound knowledge of Town affairs, accumulated in that single brain by years of experience and constant devotion to duty, we will share no more. In his death, Milford has lost a faithful and efficient public servant, and his near relatives a constant and faithful companion and loving brother.
In St. Paul's Cathedral in the City of London, designed by Sir Christopher Wren, there is a tablet which greets the visitor with these words :- "You seek Wren's monu- ment ?- Then look about you." To the visitor to this historic Town Hall, scene of Mr. Sullivan's daily labors for a third of a century, we may well imitate that senti- ment. Neither marble nor bronze form his monument here, but you will find it all about you, in his faithful attendance at every Town Meeting, in his painstaking recording of every governmental activity, in his tran- scribing the story of every birth, of every marriage and of every death that has occurred in a whole generation of Milford people.
The last time we saw him was on the platform of this very hall where we meet to do him honor. The last words we heard him speak were uttered here, his last official act was performed here. He died almost at the close of his legal tenure of office, on the threshold of entering upon a life of retirement, earned by and awarded to those who with merit and faithful service reach the age of seventy years. What a coincidence that his death occurred during the last days of the dying winter, on the advent of an- other spring, a spring he was destined never to see.

In closing let us repeat the lines of Bunyon in relating the death of a famous allegorical character, which exem- plified the true spirit of Dennis James Sullivan,
"And so Valiant-for-Truth passed over, And all the trumpets sounded for him on the other side."
It was moved by John H. Gardella, Chairman of the Selectmen that: The memorial just read be adopted as part of the records of this meeting, that an attested copy of the same be sent by the Town Clerk to Mr. Sullivan's family, and that copies be printed in the Worcester Tele- gram, a newspaper published in the County where Mr. Sullivan's influence as Town Clerk was so widespread, and in the Milford Daily News, a newspaper published in the Town which he served so long and so well.

Report of the Highway Surveyor
I hereby submit my report as Highway Surveyor of the Town of Milford for 1938.
From my General Appropriation of $21,000.00 I had an unexpended balance of $3,195.03, which was transferred at the December Special Town meeting to the Purchase Street Chapter 90 Account for 1937. This balance was made possible due to the allotments that were received from the State Emergency Relief Commission, to make repairs to our Street, Walks, Bridges and Brooks, dam- aged by the July Flood. I am requesting $21,000.00 as my General Appropriation in 1939, in anticipation of the continuation of Chapter 90 Construction. This Construc- tion, if it is done under the Supervision of the Selectmen and Highway Surveyor, enables me to place my operators and equipment on this work, so as to relieve the Highway Department payroll during a portion of the year.
Oiling Streets: I am requesting the same amount, $5,000.00, for 1939. In my opinion this amount is very. necessary to keep our macadam and tar surfaced streets in good condition and at the same time allow me to im- prove a few additional ones each year.
Snow Removal and Sanding: It is the general proce- dure to appropriate at the Annual Town Meeting in March whatever funds were necessary to expend for this purpose, plus additional funds to care for the snow the balance of the year. I regret to say that some of our snow-fighting equipment is to some extent antique, and very costly to keep in repair, but due to financial condi- tions I would not advocate replacing them at this time. I do wish to recommend that additional motorized side- walk snow-plow equipment be purchased as soon as pos- sible. We have only one Tractor for this purpose at the present time and three units are necessary to keep the walks open during a heavy snowfall.
Chapter 90 Construction: The 1937 Purchase Street Chapter 90 Project was completed this Spring and the 1938 Project started, and was completed 75% by late fall. The 1938 Project started at North Purchase Ceme-

tery Road and continued a distance of 5,925 ft. to Branch Street, driving surface 20 ft. wide. I would recommend that the following Chapter 90 Projects be requested for construction in 1939:
(1) A section of Purchase street commencing at junc- tion of School and Pearl Streets to connect with 1936 Purchase Street construction. Total cost not to exceed $10,000.00, Town's share of cost not to exceed $2,500.00.
(2) A section of Congress Street commencing at junc- tion of Maine and Congress. Total cost not to exceed $14,000.00, Town's share of cost not to ex- ceed $3,500.00.
(3) A section of Purchase Street commencing at end of 1938 construction, continuing toward Hopkinton Town line. Total cost not to exceed $14,000.00. Town's share of cost not to exceed $3,500.00.
In conclusion, I wish to thank the Board of Selectmen, all Town Departments and all the Citizens of Milford for their patience and good will during the past year.
