Section 2. The Selectmen shall perform the duties which are required by the laws of the Commonwealth and exercise general supervision over all matters affecting the business or welfare of the Town, approve pay- ment of all monies appropriated by the Town, assume responsibility for all Town property unless stated otherwise in the By-Laws, and perform other similar duties.
Section 3. The Selectmen may institute, prosecute, defend, compro- mise and settle claims, actions, suits or other proceedings brought by, on behalf of, or against the Town provided, however, they shall act upon advice of counsel when the amount to be paid in any settlement exceeds five hundred dollars ($500.00), and they may employ counsel in suits by or against the Town or in connection with legal matters involving the Town, whenever they deem it necessary.
Section 4. The Selectmen may appear (either personally or by counsel) before any legislative committee board or commission to protect the interest of the Town, but are not authorized by this By-Law to commit the Town to any course of action.
Section 5. Whenever it shall be necessary to execute any deed, or other instrument required to carry into effect any vote of the Town, the same shall be executed by the Selectmen or a majority of them, in the name and in behalf of the Town, unless otherwise provided in any special case.
Section 6. The Selectmen shall compile and cause to have printed the annual report of all Town officers, boards, committees, departments, elections and vital statistics to be left at each dwelling house and apart-

ment at least seven days before the annual Town Meeting, but failure so to do shall not invalidate the meeting.
Section 7. The Selectmen shall notify all committees, boards, depart- ments, town officers and other reporting authorities the date on which all reports must be available for the Town Annual Report.
The Selectmen shall notify the Town Clerk promptly of any appoint- ments made by them to any town office, boards, committees or otherwise, giving the names and addresses of any person or persons so appointed, the office to which appointed or the business upon which the person or persons so appointed are to act.
ARTICLE V. Elected Town Officers
Section 1. TOWN CLERK:
The Town Clerk shall have custody of the Town Seal and all convey- ances under seal which may hereafter be executed by the Town shall be sealed by such seal and subscribed by a majority of the Board of Select- men.
The Town Clerk shall perform the duties which are required by the laws of the Commonwealth, recording and filing all contracts, agreements and other papers and documents affecting the interest of the Town.
The Town Clerk shall immediately notify in writing all members of committees elected or appointed and the business upon which they are to act and the names of all other members. He shall also notify all boards, officers and committees of all votes passed at any Town Meeting in any way affecting them.
It shall be the duty of the Town Clerk to notify the Selectmen or other appointing authority monthly of any unfilled committee, board or department appointments.
The Town Clerk shall record and file for publication any act of the Legislature accepted by the Town or any changes in, or additions to, the Revised By-Laws voted in any Town Meeting.
Section 2. TREASURER:
The Town Treasurer shall perform all the duties which are required by the laws of the Commonwealth and shall have the custody of all monies, properties and securities of all trust funds, not subject to the authority of the Commissioners of Trust Funds, heretofore or hereafter given or bequeathed to the Town and shall have the power with the approval of the Board of Selectmen to invest, reinvest, transfer and ex- pend monies from such funds as limited by the directions or provisions made by the donors of such funds. The Treasurer shall keep a separate account of such funds and the income thereof and submit the same to the Selectmen at the close of the fiscal year for publication in their report.
The Treasurer shall have the custody of all certified cherks filed by any person, firm or corporation in connection with bids of any nature.
The Treasurer shall have custody of all paid obligations of the Town, such as matured notes, bonds and coupons and all paid checks issued by him.

Section 3. ASSESSORS:
The number of Assessors shall be fixed at three and their term of office shall be three years.
The Assessors shall deliver the tax list and warrant for collection to the Tax Collector. Additional warrants shall be issued to the Collector for all taxes assessed or reassessed which are not covered by the original warrant.
The Assessors shall keep the record of all tax abatements required by law. Each month the assessors shall notify the Tax Collector and Town Accountant in writing the amount of taxes abated in the preceding month, stating separately the amount abated from each tax levy.
Section 4. TAX COLLECTOR:
The Tax Collector shall collect all accounts due the Town which are committed to him.
At least once in every month each department of the Town shall deliver to the Town Accountant a statement of each account due the Town arising from any transaction in said department. Such accounts are to be committed to the Tax Collector for collection. This section is to include all taxes and special assessments, costs and fees charged by each depart- mênt, except those collected by the Town Clerk.
The Tax Collector shall once a week or oftener pay over to the Treas- urêr all monies received by him during the preceding week or lesser period.
The Tax Collector shall advise the Selectmen whenever he considers it advisable that suits should be instituted and prosecuted in the name of the Town for the collection of any account due the Town and the Select- men shall have the authority as agents of the Town to institute and prose- cute same.
Section 5. BOARD OF HEALTH:
The Board of Health is to perform all the duties required by the Com- monwealth and may make any lawful regulations beneficial to the health of the Town and for the permanent elimination of any offensive stench obnoxious to the users of public ways or residents of the Town. Such regulations are to be posted in five public places in addition to publication of such regulations in a newspaper published in a town adjoining Norwell and circulated in the Town of Norwell.
Except as otherwise provided for by law, the Board of Health upon the request of any complainant shall notify any person or persons responsible for any condition claimed to be obnoxious that complaint has been made. If after thirty days the condition is still claimed to be offensive, the Board of Health shall investigate and take whatever lawful action it may deem advisable.
The Board of Health shall forbid all commercial slaughtering, the storage of all decayed animal matter, the disposal of all refuse subject to offensive decay in any location injurious to the health of the Town, obnoxious to residents of the Town, or unsightly as seen from any existing dwelling house or public way in the Town,

ARTICLE VI Appointed Officers
Section 1. TOWN ACCOUNTANT:
The Selectmen shall appoint a Town Accountant who shall perform the duties prescribed by law.
Section 2. ADVISORY BOARD:
The Selectmen shall appoint an Advisory Board of nine non-office holding taxpayers, who shall serve without pay, three for one year, three for two years, and three for three years, and each year thereafter, three for three years.
Said Advisory Board shall organize by choosing a Chairman and Secretary.
The duty of the Advisory Board shall be to investigate and consider all financial propositions to be brought before the Town and to report and advise thereon in Town Meetings before any action shall be taken.
The Selectmen shall transmit to the Chairman of the Advisory Board a copy of all town warrants issued by them, on or before the day of posting.
The Advisory Board may request the Selectmen and other town offi- cials under whose direction appropriations are expended, to submit to them at least thirty days before the annual town meeting, an estimate of the appropriation necessary for their various departments, and request them to appear before them for consultation.
The Advisory Board shall grant a hearing upon all articles under which appropriations of money are proposed, to the several voters whose signatures first appear as petitioners for the article.
All reports, advice, suggestions or recommendations as provided in paragraph 3, shall be submitted in writing, signed by the Chairman and Secretary, together with the records of the proceedings of said Board, and shall be filed with the records of the Town in the office of the Town Clerk.
Five members of said Board shall constitute a quorum.
The Advisory Board shall have the authority to examine the books and records of any Town Board or official as far as the same is permitted by law.
Said Advisory Board may request of the town accountant the status of any appropriation made by the Town, particularly the portion spent or committed and the balance available for the accomplishment of the purpose for which the appropriation was made.
The Advisory Board may request of any board, town officer or any other expending authority a report of progress on the use of any appro- priations and shall take whatever action it may deem advisable should said appropriation appear to be insufficient for the purpose voted.
The Advisory Board shall meet monthly and at such other times as they may determine.

ARTICLE VIÎ Public Ways
Section 1. No way that shall be laid out for acceptance by the Town shall be less than fifty (50) feet in width unless such layout was made prior to the acceptance of this section and provided that the Selectmen shall give written certification that such width is impractical and an unnecessary hardship in which case forty (40) feet but not less can be accepted.
Section 2. No private way shall be accepted unless and until the Selectmen shall have certified in writing that such way is well built and as constructed, it is equal to the average construction of existing highways of the Town and with the proper grades in relation to abutting land and connecting streets, provided however this section shall not apply to the ways laid out subject to any provisions of law relating to the assessments of betterments.
Section 3. No private way shall be accepted for the purpose of construction or alterations, or any way laid out or altered by the Select- men until all claims for damages have been estimated.
ARTICLE VIII Town Property
Section 1. The Selectmen shall have the care and custody of all Town property not otherwise placed by law in the hands of special town officers.
Section 2. Except as otherwise provided by law the Selectmen shall protect the Town and Town property against any losses or claims due to any cause by such kinds and amounts of insurance as are necessary and shall have the custody of all insurance policies, deeds, bonds of town officers and other similar documents owned by the Town.
Section 3. Annually the Selectmen shall examine all Town Buildings and shall request of the Town at each annual meeting such appropriations as seem necessary to keep such properties in proper condition to fulfill their purpose, such request to be presented with the recommendations of the Advisory Board.
Sction 4. Any Board or Officer in charge of a department may with the approval of the Selectmen sell any personal property or material not required by said department to an aggregate amount not exceeding $300.00 in value in any one fiscal year.
ARTICLE IX Licenses
Section 1. All licenses shall be granted and issued by the Selectmen except where authority is established elsewhere by the Commonwealth.
Section 2. Any license granted under these By-laws or any additional By-laws may be revoked by the board or officer granting the same.

Section 3. The Selectmen may license suitable persons to be dealers in junk, old metal or second hand articles in the Town but the premises of such dealers may be examined at all times by the Selectmen and no person shall be engaged in such occupation in the Town without a license.
Section 4. The occupations requiring licenses shall be those estab- lished by the laws of the Commonwealth and by these or any additional By-laws of the Town.
Section 5. Except as otherwise stated by law all license fees shall be established by the selectmen.
ARTICLE X Contracts
Section 1. No contract shall be awarded for any work or service other than professional service in the interest of the Town and no purchase of materials or equipment shall be made, the estimated cost of which in either case is $300.00 or more without invitation for competitive bids.
Section 2. Said invitations shall be sent on the same days to such number of vendors or contractors as the Selectmen or purchasing board of officers deem advisable but must in any case be, at least, three qualified to bid on such supplies or service.
Section 3. Said invitations shall state where specifications may be obtained and shall also state where and when such bids will be opened, such apening to be in public.
Section 4. Invitations to bid on any contract or purchase estimated to cost $1,000.00 or more shall be publicly advertised by at least one inser- tion in a newspaper published in a town adjoining Norwell and circulated in the Town of Norwell, at least ten days before the opening of the bias.
Section 5. No contract shall be split up or divided for the purpose of evading the foregoing sections.
Section 6. In event the Selectmen are unable to secure competitive bids, they are authorized to take whatever action they deem advisable, but the Selectmen must certify in writing that the required invitations were sent out and such certifications together with any returned refusals must be filed with the Town Accountant and shall be kept in file open to public inspection at least for three years.
Section 7. The above sections shall not apply in cases of emergency requiring immediate action for the preservation of life or property or for such supplies or materials for which there is only one source of supply but such reasons for purchases must be certified by the purchasing officer or board.
