ACCOUNTANT'S CERTIFICATE -
I have examined the cash deposits and securities in the various Trust Funds and in the hands of the Town Treasurer and find them to be as stated in the Treasurer's Report.
I certify that the books of the Town agree with the cash receipts as reported by the Treasurer and that the payments, by the various de- partments, are as stated in the foregoing report.
The balance sheet sets forth the financial condition of the Town as of December 31, 1939.
It became necessary during November to transfer the cash and securities from the accounts of the late Frederick I. Wilkins, Town Treasurer, and set up new accounts in the name of William W. Grace, Town Treasurer, due to the regrettable accident to Mr. Wilkins.
I take this opportunity to thank those heads of departments who supplied their annual reports promptly, as such co-operation helps con- siderably in the compilation of this report.

RECORD OF THE ANNUAL TOWN MEETING, HELD MARCH 11, 1940
The meeting was opened by the Moderator at 7:40 P. M., who read the call for the meeting and the Constable's return.
It was voted on motion by G. W. Peavey that the reading of the Articles be dispensed with until taken up for action.
Article 1. To choose all town officers not required to be chosen by ballot, viz: Three Field Drivers, one Pound Keeper, and three Wood Measurers.
Voted: On motion by J. Ward, that Everett S. Webster, Joseph F. Smith and Daniel J. McCarthy be appointed as Field Drivers; Joseph F. Smith as Pound Keeper, and George M. Roundy, Daniel Kelleher and Albert G. Tedford as Wood Measurers, for the ensuing year.
Art. 2. To act upon reports of Town Officers and Special Commit- tees as published.
Voted: On motion by T. M. Huse, to accept the reports of town officers and special committees as published.

TOWN OF LYNNFIELD
Art. 3. To see if the Town will vote to authorize the Town Treasurer, with the approval of the Selectmen, to borrow money from time to time in anticipation of the revenue of the financial year begin- ning January 1, 1941, and to issue a note or notes therefor, payable within one year, and to renew any note or notes as may be given for a period of less than one year in accordance with Section 17, Chapter 44, General Laws.
Voted: On motion by C. H. Russell, to authorize the Town Treasurer, with the approval of the Selectmen, to borrow money from time to time in anticipation of the revenue of the financial year beginning January 1, 1941, and to issue a note or notes therefor, payable within one year, and to renew any note or notes as may be given for a period of less than one year in accordance with Section 17, Chapter 44, General Laws.
Art. 4. To see if the Town will vote to raise and appropriate a sum of money to cover the expense of General Government of the Town, viz: Town Officers' salaries and expenses, care of Municipal Buildings, and Elections and Registrations, or what action it will take thereon.
Motion was made by E. S. Webster that $10,425.00 be raised and appropriated to cover the expense of General Government of the Town, viz: Town Officers' salaries (to include increases for Town Clerk, $50.00; Treasurer, $100.00; Collector of Taxes, $100.00) and expenses; care of Municipal Buildings, and Elections and Registrations.
